CNT INSURANCE NOT ON FILE N-2021-077 <br />WORK MAY NOT PROCEED <br />CLERK OF COUNCIL <br />DATE: <br />AGREEMENT WITH THE CAMBODIAN FAMILY FOR YOUTH PROGRAMS AND <br />Q�GSw co SERVICES <br />it"" C"e"�) THIS AGREEMENT is made and entered into this 29th day of March, 2021, by and <br />l between The Cambodian Family, a California non-profit public benefit corporation ("Consultant"), <br />and the City of Santa Ana, a charter city and municipal corporation organized and existing under <br />the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. On November 6, 2020, the City released Request for Proposal No. 20-143 ("RFP") for <br />youth programs and services through the City's Parks, Recreation and Community Services <br />Agency to be financed by the City's Cannabis Public Benefit Fund. <br />B. Many proposals were received and evaluated, including Consultant's proposal. Consultant <br />was one of several vendors providing youth programs and services that was selected to <br />provide services pursuant to the RFP. <br />C. The City desires to retain a consultant having special skill and knowledge in the field of <br />providing youth programs and services. <br />D. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject <br />to the terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete the services attached as Exhibit A to this Agreement, incorporated by <br />reference and set forth as part of consultant's proposal in response to RFP No. 20-143. <br />Specifically, Consultant will hold youth mental wellness education workshops. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit B. The total sum expended shall not to <br />exceed eleven thousand four hundred and three dollars ($11,403.00) during the <br />entire term of this Agreement (including any extensions of time). <br />Page 1 of 9 <br />
