�021 o..t ON FILE <br />1W 6 ;t%Y PROCEED A-2021-053 <br />„<?URANCE EXPIRES <br />Exhibit 1 <br />JF COUNCIL <br />AMENDMENT TO AGREEMENT WITH DATA TICKET, INC. <br />TO PROVIDE AUTOMATIC PARKING CITATION PROCESSING <br />THIS AMENDMENT to the above -referenced agreement is entered into on April 20, 2021, <br />by and between Data Ticket, Inc., a California corporation ("Contractor"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California ("City"). <br />RECITALS <br />A. The parties entered into Agreement No. A-2017-026, dated February 7, 2017, by which <br />Contractor agreed to provide services related to the processing of automated parking <br />citations and collecting on delinquent accounts ("Agreement"). The initial term of the <br />Agreement was for three (3) years until February 6, 2020, with an option for the parties to <br />extend the Agreement for up to two (2) one (1) year periods. <br />B. On March 25, 2019, the parties, by operation of a change order, modified the scope of <br />services to the Agreement, which did not affect the not -to -exceed amounts to the <br />compensation of the Agreement. <br />C. The parties also exercised the two (2) extension periods for the Agreement. The Agreement <br />is current and in effect and will expire on February 6, 2022. <br />D. The parties wish to increase the overall compensation to pay for services during the final <br />extension of the Agreement. <br />The Parties therefore agree: <br />1. Section 4, COMPENSATION, is amended to increase the overall compensation per the <br />following: <br />a. The total amount to be expended for this Agreement shall not exceed $1,893,660. This <br />amount includes the base amount of $885,975 provided under the initial term of the <br />Agreement, $841,645 to fund the extension periods exercised by the parties, and $166,041 <br />to cover the cost of payment refunds. <br />2. Except as modified by this Amendment, all terms and conditions of the Agreement, as revised <br />per the change order of March 25, 2019, shall remain in full force and effect. <br />[signature page to follow] <br />#118104v1 <br />
