IT �U>Tlack Cwl�a' INFORMATION TECHNOLOGY AS NEEDED PROFESSIONAL SERVICES <br />CITY OF SANTA ANA <br />THIS AGREEMENT is made and entered into on this 2' day of February, 2021, by and <br />between Infojini, Inc., ("Consultant"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California <br />("City"). <br />RECITALS <br />A. On October 26, 2020, the City issued Request for Proposal No. 20-124, attached hereto as <br />Exhibit B, by which it sought proposals from qualified firms to provide Information <br />Technology (IT) as -needed professional services, including a broad range of IT support, <br />maintenance and new project consulting for its various departments. <br />B. Consultant submitted a responsive proposal that was selected by the City. Consultant <br />represents that Consultant is able and willing to provide such services described in the <br />scope of services that was included in Request for Proposal No. 20-124 and Request for <br />Proposal No. 20-124 Addendum #1, attached hereto as Exhibit C. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />On an as -needed basis, and at the sole discretion of City, Consultant shall perform during <br />the term of this Agreement, the tasks and obligations including all labor, materials, tools, <br />equipment, and incidental customary work required to fully and adequately complete the services <br />described and set forth in Consultant's Proposal attached hereto as Exhibit A. When the need for <br />services arise, City may initiate services through use of a letter agreement, executed by the Chief <br />Technology Innovations Officer and the Consultant. Consultant shall be responsible for providing <br />all requested services pursuant to the terms and requirements found in Request for Proposal No. <br />20-124, attached hereto as Exhibit B, as well as Request for Proposal No. 20-124 Addendum #1, <br />attached hereto as Exhibit C. Specifically, Consultant must comply with the general requirements <br />found in Section III.A of Request for Proposal No. 20-124, as amended by Request for Proposal <br />No. 20-124 Addendum #1. If there are any conflicts between the terms or requirements in the <br />applicable documents referenced herein, the order of precedence shall be as follows: this <br />Agreement; Consultant's Proposal; Request for Proposal No. 20-124 Addendum #1; and, Request <br />for Proposal No. 20-124. <br />Page 1 of 10 <br />
