Property Maintenance. Developer shall continuously maintain the <br />improvements on the Properly in compliance with all applicable City housing quality <br />sLandards [24 CFR 922511 and state and local code requircn,ents and shall keep tic <br />Property free from any tutrcasonablc accumulation of debris or waste materials. <br />Developer shall also maintain in a healthy condition any landscaping planted on the <br />Property- <br />10. Oblinal➢on to Retrain from Discrimination. Developer covenants and <br />agrees for itself, its successors, its assigns and every successor in interest to the Property <br />or any part thereof, there shall be no discrimination against or segregation of any person, <br />or group of persons, on account of race, color, creed, religion, sex, mental orphysical <br />disability, marital status, national origin or ancestry in the sale, lease, transfer, use, <br />occupancy, tentee or enjoyment of the Property nor shall the Developer itself or any <br />person claiming under or through it establish or permit any such practice of practices of <br />discrimination or segregation with reference to the selection, location, number, use or <br />Occupancy of tenants, lessees, subtenants, sublessees or vendees of the Property, as <br />required by the Title VI ol'the Civil Rights Act of 1964, the Fair Housing Act (42 U.S.C. <br />3601-20) and all irnplcnionting regulations, and the Age Discrirrrination Act of 1975, and <br />all irnplencnting regulations. <br />1 I- Management Plain_ Not later Lhan five (5) business days prior Lo the <br />execution of the documents, Developer shall submit to the Lxectttivc Director a <br />Managcmciu Plan in a forth that is acceptable to the EXCCutivc Director, including, but not <br />limited to, the components listed below. Approval of the Management Plan must be <br />obtained from the Executive Director not later than the time for the Close of Escrow. <br />Developer shall manage the AssiSIO(I Units in accordance with the approved Management <br />Plan, including such amendments as may be approved in writing front time to time b-y the <br />Executive Director, tier the terns of the income and rent restrictions contained in tlicsc <br />Restrictions. City hereby acknowledges that City has approved Developer's proposed <br />Management Plan. The components of'lhe Management Plan shall include: <br />(a) Management A>tctlt. The Executive Director shall approve <br />Or disapprove the proposed Management Accent in writing based on the experience and <br />qualifications of the Management Agent. City hereby approves Quality Management <br />Group as the initial Management Agent. <br />(b) Management Agreement. Developer shal I subrnit a copy of the <br />proposed nianagenieni agreement speci Tying the anioulu of the management lee, and the <br />relationship and division of responsibilities between Developer and Management Agent. <br />City hctebv acknowledges that City has approved the Point of Developer's proposed <br />ilianagemcru agreement. <br />(c) Annual Budget and Projected Cash Flows.
