INSURANCE NOTON FILE <br />1 WORK MAY IQ PROCEED <br />CLERK OF COUNCIL. <br />0111 1 DATE: <br />N-2021-162 <br />AGREEMENT BETWEEN THE CITY OF SANTA ANA AND <br />ROBERTO ZAVALA DBA COSMOS EVENT RENTALS FOR AS NEEDED <br />0: Cin+m�u�(Ul <br />EQUIPMENT RENTAL FOR CITY LIBRARY EVENTS <br />f 00S0v494''JMTHIS AGREEMENT is hereby made and entered into this 1st day of September, 2021, by <br />and between the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California ("City"), and Roberto Zavala <br />doing business as Cosmos Event Rentals ("Consultant"). <br />RECITALS <br />A. City desires to retain a Consultant to provide equipment rentals for events at the <br />City libraries. <br />B. Consultant provides equipment rentals for various types of events. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably <br />be expected from a Consultant in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and <br />subject to the terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. Consultant shall provide as needed equipment rental, equipment set up, and take <br />down for City events at City libraries. Attached hereto and marked as Exhibit <br />"A" is a pricing sheet for all equipment available through Consultant. <br />b. When City needs equipment for an event at a City library, City will contact <br />Consultant for a proposal for that event. Consultant will provide a written <br />proposal (utilizing the price list attached as Exhibit A) to City within a reasonable <br />time prior to the event. If City desires to utilize Consultant's services pursuant to <br />this Agreement, City will confirm in writing within a reasonable time prior to the <br />event acceptance of Consultant's event proposal. <br />2. COMPENSATION <br />a. City makes no promises or representations of any specific amount of compensation <br />pursuant to this Agreement. If City utilizes Consultant's services pursuant to this <br />Agreement, then Consultant will be compensated pursuant to an agreed upon written <br />proposal and pursuant to the price list set forth in Exhibit "A". The total sum <br />authorized under this Agreement shall not exceed fifteen thousand dollars <br />($15,000.00) for the entire term of this Agreement. <br />Page 1 of 8 <br />#21732v1 <br />
