DocuSign Envelope ID: CC1719F9-6F29-4BEA-8499-419DBFB55DC0 <br />WHEREAS, Contractor and County are entering into this Contract for Regional Workforce <br />Consulting Services under a cost reimbursement Contract; and <br />WHEREAS, Contractor agrees to provide Regional Workforce Consulting Services to the County <br />as further set forth in the Scope of Services, attached hereto as Attachment A; and <br />WHEREAS, County agrees to pay Contractor based on the schedule of fees set forth in <br />Payment/Compensation, attached hereto as Attachment B; and <br />WHEREAS, Contractor agrees to manage allotted funding set forth in the Budget Schedule, <br />attached hereto as Attachment C; and <br />WHEREAS, Contractor agrees to meet the Staffing Plan requirements set forth in attached hereto <br />as Attachment D; and <br />WHEREAS, Contractor agrees to meet the Performance Standards requirements set forth in <br />attached hereto as Attachment E; and <br />WHEREAS, Contractor received notification of the Federal Award Identification Number, <br />attached hereto as Attachment F; and <br />WHEREAS, the County Board of Supervisors has authorized the OC Community Resources <br />Director or his designee to enter into a Contract for Regional Workforce Consulting Services with the <br />Contractor to carry out certain program services and activities within Fiscal Year 2021- 2022 & 2022- <br />2023, and through September 30, 2022. <br />NOW, THEREFORE, the Parties mutually agree as follows: <br />DEFINITIONS <br />"Administrator" means the Executive Director, of Orange County Community Investment Division <br />CUD"), as subdivision within the Orange County Community Services ("OCCS") department, or <br />designee thereof. <br />"Contract Administrator" means the designated Manager, a Deputy Purchasing Agent ("DPA") within <br />the Contract Development and Management ("CDM") team, who shall administer the contractual <br />responsibilities for this Contract and manage all contractual changes as necessary or reasonable to comply <br />with County Policies. <br />"County's Project Manager" means the designated Manager with the County Program Management team <br />who shall administer and monitor the services within this Contract as is necessary or reasonable to comply <br />with County policies. <br />"Director" means the County Director of the Orange County Community Resources ("OCCR") <br />department. <br />County of Orange Page 7 of 42 City of Santa Ana <br />OC Community Resources Contract No.:MA-012-22010003 <br />
