DocuSign Envelope ID: 7DOD574C-B1E5-4A94-96CC-C2B16DDD7DC6 ATTACHMENT A <br />EXHIBIT 5 <br />RANT-KGREEMENT BETWEEN -THE STATE OF CALI <br />(DEPARTMENT OF WATER RESOURCES) AND <br />SANTA ANA WATERSHED PROJECT AUTHORITY <br />AGREEMENT NUMBER 4600013842 <br />PROPOSITION 1 ROUND 1 INTEGRATED REGIONAL WATER MANAGEMENT (IRWM) <br />IMPLEMENTATION GRANT <br />THIS GRANT AGREEMENT is entered into by and between the Department of Water Resources of the State <br />of California, herein referred to as the "State" or "DWR," Santa Ana Watershed Project Authority, a public <br />agency in the State of California, duly organized, existing, and acting pursuant to the laws thereof, herein <br />referred to as the "Grantee," which parties do hereby agree as follows: <br />1) PURPOSE. The State shall provide funding from the Water Quality, Supply, and Infrastructure <br />Improvement Act of 2014 (Proposition 1) to the Grantee to assist in financing the projects, which are <br />included in and implemented in an adopted Integrated Regional Water Management Plan (IRWM Plan), <br />pursuant to Chapter 7. Regional Water Security, Climate, and Drought Preparedness (Wat. Code, § 79740 <br />et seq.). The provision of State funds pursuant to this Agreement shall be construed or interpreted to <br />mean that the IRWM Plan, or any components of the IRWM Plan, implemented in accordance with the <br />Work Plan as set forth in Exhibit A, has been adopted through the IRWM Plan Review Process, and is/are <br />consistent with Water Code section 10530 et seq. <br />2) TERM OF GRANT AGREEMENT. The term of this Grant Agreement begins on June 3, 2020 through final <br />payment plus three (3) years unless otherwise terminated or amended as provided in this Grant <br />Agreement. However, all work shall be completed by December 31, 2025 in accordance with the Schedule <br />as set forth in Exhibit C and no funds may be requested after March 31, 2026. <br />3) GRANT AMOUNT. The maximum amount payable by the State under this Grant Agreement shall not <br />exceed $23,091,428. If applicable, this amount may be reduced as per the Paragraph 5.A.ii. <br />4) GRANTEE COST SHARE. The Grantee is required to provide a Local Cost Share (non -state funds) as set <br />forth in Exhibit B (Budget). Local Cost Share may include Eligible Project Costs directly related to Exhibit <br />A incurred after January 1, 2015. <br />5) BASIC CONDITIONS. <br />A. Unless exempt as per the 2019 IRWM Implementation Grant Proposal Solicitation Package, project(s) <br />that are subject to the California Environmental Quality Act (CEQA) including final land purchases, <br />shall not be included in this Agreement until the CEQA process is completed and all permits necessary <br />to begin construction are acquired. Projects providing at least 75% of benefits to a disadvantaged <br />community (DAC), economically distressed area (EDA), and/or Tribe (based on population or <br />geography), or projects implemented by Tribes will be exempt from this requirement. <br />i. Such projects will be included in the Agreement as a placeholder. Placeholder projects are not <br />eligible for grant reimbursement and may not submit invoices to DWR until such time as they are <br />fully included in the Agreement. <br />Placeholder projects that complete CEQA and/or acquire permits (necessary to begin <br />construction) within eighteen (18) months of the agreement execution date will be amended into <br />the agreement. At the end of the eighteen (18)-month term, any placeholder projects that fail to <br />complete CEQA and/or acquire permits will be deleted from the Agreement. The total grant award <br />will be reduced by the amount of the deleted project(s). Replacement projects will not be allowed. <br />Reduced amount will be made available to the respective Funding Area in future funding rounds <br />on a competitive basis. Deleted placeholder projects will not be eligible to receive any grant <br />reimbursement under this Agreement; however, such project could be eligible under the next <br />round of grant solicitation. <br />B. The State shall have no obligation to disburse money for the Project(s) under this Grant Agreement <br />until the Grantee has satisfied the following conditions (if applicable): <br />
