A-2021-160 <br />WORK my PROCEED <br />UNTIL INSURANCE EXPIRES <br />01- D-Uw- <br />CLERK OF COUNCIL <br />DATE OCT 2 2 2021 SERVICE AGREEMENT <br />Q•Fbllc?(Lt1o`z.6U1S)W1.T ROTATIONAL TOW PROVIDER <br />THIS AGREEMENT is made and entered into on this 17th day of August, 2021 by and between <br />MetroPro Road Services, Inc., a California corporation, (hereinafter "Contractor"), and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the Constitution <br />and laws of the State of California ("City"). <br />RECITALS <br />A. The City desires to retain a Contractor having special skill and knowledge in the field of <br />providing vehicle towing and storage services. <br />B. Contractor represents that it is able and willing to provide such services to the City. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shalt provide vehicle towing and storage service at the request of the Santa Ana <br />Police Department, on a rotational basis, in accordance with the terms and conditions set forth in <br />the Scope of Service, attached hereto as Exhibit A and incorporated by this reference. The City <br />intends to contract with several tow companies to provide necessary towing services on a rotational <br />basis, "Towing services may include, but are not limited to, towing vehicles from public or private <br />property at the direction of Police employees, owner's request for a tow made via the Police <br />Department, the storage of vehicles, the secure storage of vehicles containing evidentiary value, <br />debris clean—up and removal, recovery services and administrative oversight of vehicles in the <br />custody of the Contractor. <br />2. COMPENSATION <br />a. The parties intend that towing and storage fees will be paid by the vehicle owner at the <br />,rates aid charges set forth in Contractor's then current and approved fee schedule, <br />attached as Exhibit B and incorporated by this reference. <br />b. When Contractor provides services chargeable to the City as set forth in Exhibit A, the <br />Contractor shall submit a monthly invoice by the 15th of the month to the City for any <br />such services rendered in the prior month, if applicable, The invoice shall include all <br />information enumerated in California Vehicle Code ("CVC") §22651.07(e) and include <br />the following information: <br />Page 1 of 10 <br />#141898v2 <br />
