INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />o O <br />,,CLERK OF COUNCIL <br />N DATE: <br />CONSULTANT AGREEMENT <br />N-2021-205 <br />m� >�,.) <br />(&AC�'"� F s THIS AGREEMENT, made and entered into this 13 day of October, 2021, by and <br />between MDG Associates, Inc., a California corporation ("Consultant"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California ("City"). <br />RECITALS <br />A. The City desires to retain a consultant having special skills and knowledge in the field of <br />grant monitoring and technical support services, as well as administrative services, for <br />federal grant programs, including the Community Development Block Grant- <br />Coronavirus ("CDBG-CV") and Emergency Solutions Grant-Coronavirus ("ESG-CV ). <br />B. The City, as an entitlement recipient and grantee of the United States Department of <br />Housing and Urban Development ("HUD") CDBG Program, desires to enter this <br />Agreement with the Consultant for the expenditure of CDBG funds in accordance <br />with Title 24, Part 570 of Code of Federal Regulations 24 CFR 570.000, et seq. <br />("CDBG Regs"). <br />C. Consultant represents that Consultant is not listed as debarred, is able and willing to <br />provide such services to the City, and will comply with the CDBG Regs. <br />D. hi undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Pursuant to this Agreement, Consultant will provide select monitoring services for the City's <br />CDBG-CV and ESG-CV Programs, as set forth in Exhibit A attached hereto and incorporated <br />herein. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its <br />services, the rates and charges identified in Exhibit B. For monitoring services, <br />the total sum to be expended under this Agreement shall not exceed $17,841. <br />b. Payment by City shall be made within forty-five (45) days following receipt of <br />proper invoice evidencing work performed, subject to City accounting <br />
