EXHIBIT 2 <br />Subcontractorpursuanttothetermshereof,orterminationofthisHUD-VASHSpecialFees <br />Agreement. <br />4.HUDAGREEMENT <br />A.Contractoradherestothe2021Act,whichestablishestheallocationmethodology <br />for calculating HAP renewal funds, new incremental vouchers and administrative fees.A true and <br />correct copy of the HUD PIH Notice 2021-10 recognizing $84,017.00 in HUD-VASH Special <br />Fees grant funds to be used by Contractor to address immediate homeless challenges is attached <br />hereto as Exhibit A.Subcontractor has been made aware of the HUD PIH Notice 2021-10 and <br />agrees to comply with all the conditions of the HUD-PIH Notice 2021-10 and the applicable <br />HUDrequirementsgoverningthe useofHUD-VASH Special Feesgrant funds. <br />B.Pursuanttothe HUDPIH Notice2021-10,Subcontractorisrequiredto: <br />i.Perform the work in accordance with Federal, State and Local housing and <br />buildingcodes, asapplicable. <br />ii.Maintain at least the minimum State- <br />thoseemployees who will perform thework oranypart ofit. <br />iii.Maintain,asrequiredbylaw,unemploymentinsurance,disability <br />insurance,andliabilityinsuranceinanamountthatisreasonableto <br />compensateanyperson,firmorcorporationwhomaybeinjuredor <br />damaged bythe Subcontractor in performing the work or anypart ofit. <br />iv.Agree to include all the terms of the HUD PIH Notice 2021-10 in each <br />subcontract. <br />5.INDEPENDENTCONTRACTOR <br />Subcontractor shall, during the entire term of this HUD-VASH Special Fees Agreement, <br />be construed to be an independent contractor and not an employee of the Contractor.This HUD- <br />VASH Special Fees Agreement is not intended nor shall it be construed to create an employer- <br />employeerelationship,ajointventurerelationship,ortoallowtheContractortoexercise <br />discretion or control over the professional manner in which Subcontractor performs the services <br />which are the subject matter of this HUD-VASH Special Fees Agreement; however, the services <br />to be provided by Subcontractor shall be provided in a manner consistent with all applicable <br />standardsandregulationsgoverningsuchservices.Subcontractorshallpayallsalariesand <br />wages, employer's social security taxes, unemployment insurance and similar taxes relating to <br />employeesand shall beresponsiblefor all applicable withholdingtaxes. <br />6.OWNERSHIPOF MATERIALS <br />This HUD-VASH Special Fees Agreement creates a non-exclusive andperpetual license <br />for Contractor to copy, use, modify, reuse, or sublicense any and all copyrights, designs, and <br />otherintellectualpropertyembodiedinplans,specifications,studies,drawings,estimates,and <br />3 <br /> <br />
