WURK MAY PRGCEED <br />UNTIL INSURANCE F.Y.PiS�i"5 FILL <br />A-2021-232 <br />CLERhi Ot CGIIPJCIL <br />CATF: AGREEMENT FOR SERVICES TO ADMINISTER <br />THE REGISTRATION AND MAINTENANCE OF ABANDONED, <br />VACANT, AND/OR DEFAULTED MORTGAGE PROPERTIES <br />�: Y�Y� �ikw�aAorTvrr�s�(•u�?,T. <br />THIS AGREEMENT is made and entered into this 7th day of December, 2021, by and between <br />Property Registration Champions, LLC dba PROCHAMPS ("Consultant"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />r <br />laws ofthe State of California ("City"). <br />tsa <br />N RECITALS <br />ti <br />A. On September 30, 2021, the City issued Request for Qualifications No. 21-117, by <br />which it sought proposals from qualified firms to provide services to administer the <br />registration and maintenance of abandoned, vacant, and/or defaulted mortgage <br />properties as provided by Santa Ana Municipal Code sections 8-1982 through 8- <br />1992. <br />B. Consultant submitted a responsive proposal that was selected by the City. <br />Consultant represents that it is able and willing to provide the services described in <br />the scope of work that was included in RFQ No. 21-117. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably <br />be expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />Consultant shall perform the services described in the scope ofwork that was included in <br />RFQ No. 21-017, which is attached as Exhibit A, and as further delineated in Consultant's <br />proposal, which is attached as Exhibit B and incorporated in full. <br />2. COMPENSATION <br />a City neither warrants nor guarantees any minimum or maximum compensation to <br />Consultant under the term of this Agreement, including any extension periods. <br />Consultant shall only be compensated for actual services performed under the <br />Agreement at the rate structure identified in Exhibit B. <br />b. Consultant shall receive and process all property registration fees, including <br />payments, and provide monthly remittance of the City's portion of all registration <br />fees by the tenth of each month along with a monthly remittance report. <br />Page I OR <br />
