INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />tS N • l2 Ze7 <br />CLERK OF COUNCIO <br />¢,TE: <br />N-2021-140-01 <br />r1 FIRST AMENDMENT TO AGREEMENT WITH MAGELLAN ADVISORS, LLC <br />TO CONDUCT A COMMUNITY BROADBAND MARKET SURVEY <br />t\' THIS FIRST AMENDMENT to the above -referenced agreement is entered into on January 1, 2022, by and <br />;Z:1 between Magellan Advisors, LLC, a Florida limited liability company ("Consultant"'), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the <br />State of California ("City"). <br />T T�/t1'4n4Ge pCe¢I;e>CSit1�8 RECITALS <br />A. The parties entered into Agreement No. N-2021-140 ("Agreement") dated June 18, 2021, to <br />conduct a community broadband survey to gain an understanding of what service offerings are <br />currently available to the residents of Santa Ana. <br />B. Agreement No. N-2021-140 is current and in -effect through June 17, 2022. <br />C. The parties wish to amend the Agreement to increase the Scope of Work of services for on -call <br />services; extend the tern of the Agreement; and increase the overall compensation to cover costs <br />related to the increased scope and extended tern for the Agreement. <br />The Parties therefore agree: <br />1. Section 1, Scope of Work, is hereby amended to increase the scope of services, to include as -needed <br />consultative services in the areas of internet access, broadband, fiber optics, wireless networks, <br />broadband grants and other sources of internet access funding. Activities may include cost estimation, <br />planning, and assistance with procurements and partnerships. <br />2. Section 2.b, Compensation, is hereby amended to increase the total sum to be expended under this <br />Agreement from $15,000 to $50,000. <br />3. Section 3, Term, is amended to extend the tern of the Agreement until December 31, 2022. <br />4.
