w A-2019-190-03 <br />INSURANCE ON FILE <br />o WORK MAY PROCEED <br />ec UNTIL INSURANCE EXPIRES <br />OLDl.g� <br />CLERK OF COUII"D AMENDMENT TO AGREEMENT TO PROVIDE <br />DATE: JANITORIAL SERVICES AT VARIOUS LOCATIONS <br />THIS THIRD AMENDMENT to the above -referenced agreement is entered into on January , <br />2022 by and between Universal Building Maintenance, LLC, dba Allied Universal Janitorial <br />Services ("Contractor"), and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. The parties entered into Agreement No. A-2019-190, dated October 15, 2019, by which <br />Contractor agreed to provide janitorial services at various city facilities, including City Hall, <br />the Main Library, and the Santa Ana Regional Transportation Center ("Agreement"). <br />B. On March 1, 2020, the parties entered into First Amendment No. A-2019-190-01, by which <br />the Agreement was amended to expand the scope of services to include enhanced cleaning <br />services on an as -needed basis due to the COVID-19 pandemic and to increase the amount <br />to be expended under the Agreement accordingly. <br />C. On April 1, 2021, the partied entered into Second Amendment No. A-2019-190-02, by <br />which the Agreement was amended to include additional cleaning services on an as -needed <br />basis made necessary by the relocation of Water Resources Division staff from the City's <br />Corporate Yard to various other water facilities because of the COVID-19 pandemic, <br />including mobile offices and restrooms. <br />D. The Agreement remains in effect through October 31, 2022, with provision for extension. <br />E. The parties now wish to amend the Agreement specific to the pandemic related services <br />stemming from the Second Amendment to the Agreement and increase the compensation for <br />said pandemic services and extend the term for provision of same said services through June <br />30, 2022. The term of the original Agreement will not be affected and all services related to <br />the original Agreement remain in effect until October 31, 2022. <br />The Parties therefore agree: <br />1. Section 1, Scope of Services, is amended to include the services and locations described in <br />Exhibit A to this Third Amendment, attached hereto. <br />2. Section 2.a, Compensation, is amended to increase the total amount to be expended under the <br />Agreement by $36,000 for the period from January 1, 2022 through June 30, 2022. <br />3. Section 3, Term, is amended to provide for the services described in Exhibit A to the Second <br />Amendment and the services described in Exhibit A to this Third Amendment to continue for <br />the period from January 1, 2022 through June 30, 2022. <br />4. Except as modified by this Third Amendment, and all prior amendments, all terms and <br />conditions of the Agreement shall remain in full force and effect. <br />Page 1 of 2 <br />
