INSURANCE NOT ON FILE <br />WORK MAY NOT PROCEED <br />CLERK OF COUNCIL <br />DATE: <br />A-2021-233 <br />MAR 10 2022 PARKING OPERATOR/MANAGEMENTAGREEMENT <br />FOR THE CITY OF SANTA ANA DOWNTOWN <br />0, PUBLIC PARKING GARAGES &SURFACE LOT <br />11 Ullt(Jd Jlt1 J <br />This PARKING OPERATOR/MANAGEMENT AGREEMENT (the "Agreement") is made and entered into on this <br />1" day of February, 2022, by and between the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California ("Owner' or <br />"City") and ABM Industry Groups, LLC, dba ABM Parking Services, a Delaware limited liability company <br />('Operator"). <br />RECITALS: <br />A. Owner presently owns five parking facilities located at Third and Broadway (Garage A), Fifth and <br />Spurgeon (Garage B), Third and Birch (Garage C), Fifth and Main (Garage D), and Third and Bush <br />(Lot 1), Santa Ana, California (collectively, the "Parking Facilities"). <br />B. Owner has a need for an operator to oversee the management and operation of the Parking <br />Facilities. <br />C. Operator was selected pursuant to Request for Proposal #21-046 issued by Owner in April 2021 <br />("RFP" ). <br />D. Operator represents that it is qualified and experienced in parking management and operation <br />and is available to oversee the management and operation of the Parking Facilities in a first-class <br />manner pursuant to the terms of this Agreement. <br />NOW, THEREFORE, in consideration of the foregoing recitals and the mutual and respective promises set forth <br />below, the parties do hereby mutually agree as follows: <br />This Agreement consists of: <br />1.
