Attachment A - Joint Agreement for 800 MHz CCCS Page 19 of 83 <br />BYLAWS <br />800 MHz GOVERNANCE COMMITTEE <br />Page 1 <br />Article 1 Name <br />Section 1. The name of this body is the 800 MHz GOVERNANCE COMMITTEE, hereinafter <br />referred to as the "Governance Committee." <br />Article 2. Purpose and Authority <br />Section 1. It is the purpose of the Committee to oversee implementation and operation of the <br />800 MHz Countywide Coordinated Communications System (the "System"), <br />including Member Agency compliance with payment schedules, addressing <br />operational issues affecting System operation and site development, reviewing and <br />approving conversion, modification and enhancement plans, approving contract <br />pricing changes, resolving disputes between Member Agencies, operational and <br />fiscal matters necessary for the operation and maintenance of the System, and <br />performing any other responsibilities required to implement the Joint Agreement. <br />The Governance Committee shall be responsible for approving the 800 MHz <br />Project System Operations Budget operating and Reserve Fund that are jointly <br />funded by the Parties to the Joint Agreement. <br />Section 2. The Governance Committee was established November 23, 2004, and amended <br />June 2, 2015, by the Orange County Board of Supervisors (the `Board") and Parties <br />to the Joint Agreement to facilitate the operation, maintenance and financial <br />management of the 800 MHz CCCS. <br />Section 3. This Governance Committee will operate under the revised Board authorization of <br />the re -written Joint Agreement to facilitate the operation, maintenance, and <br />financial management of the 800 MHz CCCS established on <br />Article 3. General Operating Mandated Regulations and Statutes <br />Section 1. The Governance Committee must adhere to all local, state and federal regulations <br />and statutes that may, from time to time, apply. <br />Section 2. The Committee shall be subject to the provisions of The Brown Act (commencing <br />with Section 54950 of the Government Code) relating to public meetings of local <br />governmental advisory boards. <br />Section 3. The Governance Committee must comply with the County's non-discrimination <br />and zero tolerance sexual harassment policies. <br />Section 4. The Governance Committee must comply with the County's Code of Ethics, which <br />outlines the County's clear expectations for behavior in relation to the members' <br />duties as public servants. <br />
