<br />3. we will pay the following as expenses, but only to the extent they are neither paid nor
<br />required to be paid by one or more of the underlying policies listed in the Schedule of
<br />Underlying Insurance nor by any other insurance providing coverage to the "Insured":
<br />a. premiums on bonds to release attachments, but only for bond amounts within our
<br />applicable Limit of Insurance. We are not obligated to apply for or furnish any such
<br />bond.
<br />b. premiums on appeal bonds required by law to appeal any "claim" or "suit" we defend,
<br />but only for bond amounts within our applicable Limit of Insurance. We are not
<br />obligated to apply for or furnish any such bond.
<br />c. all court costs taxed against the "Insured" in any "claim" or "suit" we defend. However,
<br />we will not pay for attorneys' fees or attorneys' expenses taxed against the "Insured."
<br />d. pre -judgment interest awarded against the "Insured" on that part of the judgment we
<br />pay that is within our applicable Limit of Insurance. If we make an offer to pay the
<br />applicable Limit of Insurance, we will not pay any pre -judgment interest based on the
<br />period of time after the offer;
<br />e. all interest that accrues after entry of judgment and before we have paid, offered to
<br />pay or deposited in court the part of the judgment that is within our applicable Limit of
<br />Insurance;
<br />f. the "Insured's" actual and reasonable expenses incurred at our request.
<br />C. We will not investigate any "claim" or defend any "suit" after our applicable Limits of Insurance
<br />have been exhausted by payment of judgments or settlements.
<br />D. Except for those instances described in Subsection A. in Section Ill. DEFENSE, we will not be
<br />obligated to assume charge of the investigation, settlement, or defense of any "claim" or "suit"
<br />against the "Insured." We will, however, have the right and will be given the opportunity to
<br />participate in the settlement, defense, and trial of any "claim" or "suit" relative to any
<br />"occurrence" which, in our opinion, may create liability on our part under the terms of this
<br />Policy. If we exercise such right, we will do so at our own expense.
<br />IV. EXCLUSIONS
<br />This insurance does not apply to:
<br />A. Asbestos
<br />"Bodily injury," "property damage," "personal injury," "advertising injury,' and any other liability,
<br />including, but not limited to, settlements, judgments, costs, charges, expenses, costs of
<br />investigations, or the fees of attorneys, experts, or consultants, arising out of or related in any
<br />way, either directly or indirectly, to:
<br />1. asbestos, asbestos products, asbestos -containing materials or products, asbestos fibers or
<br />asbestos dust, including, but not limited to, any manufacture, mining, use, sale, Installation,
<br />removal, or distribution activities related to any form of asbestos;
<br />2. exposure to, testing for, monitoring of, cleaning up, removing, containing, or treating of
<br />asbestos, asbestos products, asbestos -containing materials or products, asbestos fibers or
<br />asbestos dust; or
