DocuSlgn Envelope ID: 885498D2-1CBA-4928-AE9B-EDEEE17D7376 <br />or COUNTY INDEMNITEES, CONTRACTOR and COUNTY agree that liability <br />will be apportioned as determined by the court. Neither party shall request a jury <br />apportionment. <br />12.2 COUNTY agrees to indemnify, defend with counsel approved in writing by <br />CONTRACTOR, and hold CONTRACTOR, its elected and appointed officials, <br />officers, employees, and agents ("CONTRACTOR INDEMNITEES") harmless <br />from any claims, demands, or liability of any kind or nature, including but not <br />limited to personal injury or property damage, arising from or related to the <br />services, products or other performance provided by COUNTY pursuant to this <br />Agreement, but only in proportion to and to the extent that such claims, demands, <br />or liabilities result from the negligent acts or omissions of COUNTY, its officers, <br />employees, or agents. If judgment is entered against COUNTY and <br />CONTRACTOR by a court of competent jurisdiction because of the concurrent <br />active negligence of CONTRACTOR or CONTRACTOR INDEMNITEES, <br />COUNTY and CONTRACTOR agree that liability will be apportioned as <br />determined by the court. Neither party shall request a jury apportionment. <br />12.3 Neither termination of this Agreement nor completion of the acts to be performed <br />under this Agreement shall release any party from its obligation to indemnify as to <br />claims or cause of action asserted that arise from this agreement. <br />13. INSURANCE <br />13.1 Prior to the provision of services under this Agreement, CONTRACTOR agrees to <br />purchase all required insurance or maintain a program of self-insurance at <br />CONTRACTOR's expense, including all endorsements required herein, necessary <br />to satisfy COUNTY that the insurance provisions of this Agreement have been <br />complied with. CONTRACTOR agrees to keep such insurance coverage, <br />Certificates of Insurance and endorsements on deposit with ADMINISTRATOR <br />during the entire term of this Agreement. In addition, all subcontractors performing <br />work on behalf of CONTRACTOR pursuant to this Agreement shall obtain <br />insurance subject to the same terms and conditions as set forth herein for <br />WDM0522 Page 14 of 45 March 1, 2022 <br />
