HOLIDAY AT CITY'S JUNETEENTH EVENT <br />THIS AGREEMENT is made and entered into this 9th day of June, 2022, by and between Darius <br />Jones, an individual ("Contractor"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California <br />("City"). <br />RECITALS <br />A. The City desires to retain a contractor to provide artists and entertainers to perform <br />at the City's Juneteenth event. <br />B. Contractor represents that Contractor is able and willing to provide such services to <br />the City. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably <br />be expected. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. Contractor shall provide a performance by the musical artist known as J. Holiday <br />("Artist") for the City's Juneteenth Celebration event on June 18, 2022 at <br />Centennial Park (3000 W. Edinger Avenue, Santa Ana, CA 92704). <br />b. Contractor shall ensure that Artist provides a Thirty (30) minute musical <br />performance at a time to be coordinated with event staff. <br />C. Contractor must provide song list of family friendly, clean edit songs with lyrics to <br />be approved by the City of Santa Ana prior to performance. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services <br />for City, including all travel expenses and performance, by Artist the rates and <br />charges identified in Exhibit A. The total amount to be expended under this <br />Agreement shall not exceed Ten Thousand Seven Hundred Dollars and Zero Cents <br />($10,700.00). <br />b. Contractor agrees that the City is not responsible for payment directly to Artist nor <br />anyone else purporting to represent them. <br />Page I of <br />
