at any time of any obligation or liability of City to Developer, or any claim by Developer <br />against City, in connection with these Restrictions or otherwise, Developer hereby waives <br />any right it might otherwise have: (a) to offset any such obligation, liability or claim against <br />Developer's obligations under these Restrictions; or (b) to claim that the existence of any <br />such obligation, liability or claim excuses the nonperformance by Developer of any of its <br />obligations under these Restrictions. <br />24. CSCDA Regulatory Agreement. The parties hereto acknowledge that the <br />Developer and California Statewide Communities Development Authority are entering <br />into that certain Regulatory Agreement and Declaration of Restrictive Covenants (the <br />"CSCDA Regulatory Agreement") with respect to the Property and the issuance of tax- <br />exempt financing and further agree that as long as the CSCDA Regulatory Agreement is <br />in effect, to the extent of any conflicting provisions between the CSCDA Regulatory <br />Agreement and the Restrictions, the CSCDA Regulatory Agreement shall control. That <br />notwithstanding, the fact that the Restrictions and the CSCDA Regulatory Agreement <br />provide for greater, lesser or different obligations or requirements shall not be deemed a <br />conflict unless the applicable provisions are inconsistent and could not be simultaneously <br />enforced or performed. <br />25. Notices.
