Watts <br />9900 Research Drive <br />Irvine, CA 92618 <br />awatts@wattslawyers.com <br />admin@wattsalwyers.com <br />10.1. Confidential Agreement. The Parties agree the terms of this Settlement Agreement <br />will be confidential, subject to the requirements of the California Public Records Act and any other <br />requirements under applicable law. <br />10.2. Authorization. Each of the Parties warrant, covenant, and agree that the person <br />executing this Agreement is authorized and empowered to enter into and execute this Agreement <br />for and on behalf of the Party they represent, and by their execution hereof, each respective Party <br />they represent, and all persons, partnerships, corporations, joint ventures and any person or thing <br />affiliated therewith, shall be bound by the terms hereof. <br />10.3. Compromise and Settlement. The Parties acknowledge and agree that the execution <br />of this Agreement is the result of compromise of each Party's claims in the Court of Appeal and <br />is entered in good faith and shall never for any purpose be considered an admission of liability or <br />responsibility concerning any of the claims referred to herein, and no past or present wrongdoing <br />on the part of any of the Parties shall be implied by such payment or execution. <br />10.4. Acknowledgement. Each Party acknowledges there are supply chain and labor <br />issues associated with the COVID-19 pandemic. The Parties enter into this Agreement with the <br />understanding that the schedule in Paragraph 2 is achievable after full consideration of these issues. <br />Each Party hereby declares that it has received sufficient information, either through its own legal <br />counsel or other sources of its own selection, so as to be able to make an intelligent and informed <br />judgment whether to enter into this Agreement. Each Party further states that it has read this <br />Agreement in its entirety prior to signing this Agreement, and that it has signed this Agreement <br />voluntarily, with competence and capacity to contract and with knowledge of the terms, <br />significance, and legal effect of this Agreement. <br />10.5. Successors and Assigns. The Parties agree that the terms, conditions and provisions <br />of this Agreement are binding upon, and shall inure to the benefit of, all assigns and successors - <br />in -interest of each of the Parties hereto. <br />
