INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />I • -1. 2022 <br />CLERK OF COUNCIL <br />DATE: <br />N-2022-164-01 <br />THIS FIRST AMENDMENT to the above -referenced agreement is entered into on July 27, 2022, by and <br />between Cherub Executive Services ("Contractor"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California ("City"). <br />° J2GSA(�C14n10, 6) (an) )IRECITALS <br />0 <br />N <br />A. The parties entered into Agreement No. N-2022-164 ("Agreement") dated June 13, 2022, to <br />provide unarmed security guard services at the City's Juneteenth event. The Agreement runs <br />� through December 31, 2022. <br />B. Services for the Juneteenth event required additional security services beyond the scope and <br />compensation of the Agreement, which the City intends to compensate the Contractor for services <br />rendered. <br />C. The City, in anticipation of upcoming City special events, seeks to engage Contractor to provide <br />on -call security services for the remainder of the term of this Agreement. <br />D. The parties now wish to amend the Agreement to: 1) expand the scope of services to allow the City <br />to engage the Contractor for additional City events; and 2) increase the overall compensation for <br />prior services rendered, and for any on -call services as directed by the City. <br />The Parties therefore agree: <br />1. Section 1, SCOPE OF SERVICES, is hereby amended to add subsection f, which shall read as <br />follows: <br />f. On an on -call basis, and at the City's sole discretion, City may call upon Contractor to <br />submit a written quote for services —as requested by City —for any events it may require <br />between now and the expiration of this Agreement. City shall respond in writing to the <br />Contractor to confirm engagement of the Contractor for City special event(s). <br />2. Section 2, COMPENSATION, is hereby amended to increase the not -to -exceed amount to Twenty - <br />Five Thousand Dollars and Zero Cents ($25,000.00). This sum includes (1) the original amount; (2) <br />costs for additional security guards and overtime for the Juneteenth Event, as detailed in Exhibit B-1 <br />to this First Amendment; and (3) costs to allow for on -call services as required by the City. <br />3. Except as modified by this First Amendment, all terms and conditions of the Agreement, shall remain <br />in full force and effect. <br />[signature page to follow] <br />Page 1 of 2 <br />
