Except insofar as now or hereafter prohibited by law, the right to plead, use or assert any <br />statute of limitations as a plea or defense or bar of any kind, or for any purpose, to any debt, <br />demand or obligation secured or to be secured hereby, or to any complaint or other pleading or <br />proceeding filed, instituted or maintained for the purpose of enforcing this Deed of Trust or any <br />rights hereunder, is hereby waived by Trustor. <br />8.17. Trust Irrevocable; No Offset. <br />The Trust created hereby is irrevocable by Trustor. No offset or claim that Truster now <br />has or may in the future have against Beneficiary shall relieve Truster from paying the <br />indebtedness or performing any other Obligation contained herein or secured hereby. <br />8.18. Corrections. <br />Truster shall, upon request of Beneficiary, promptly correct any defect, error or omission <br />which may be discovered in the contents hereof or in the execution or acknowledgment hereof, <br />and will execute, acknowledge and deliver such further instruments and do such further acts as <br />may be necessary or as may be reasonably requested by Beneficiary to carry out more effectively <br />the purposes thereof, to subject to, the lien and security interest hereby created any of Trustor's <br />properties, rights or interests covered or intended to be covered hereby, or to perfect and <br />maintain such lien and security interest. <br />8.19. Further Assurance. <br />Trustor, Beneficiary and Trustee agree to do or cause to be done such further acts and <br />things and to execute and deliver or to cause to be executed and delivered such additional <br />assignments, agreements, powers and instruments, as any of them may reasonably require to <br />keep valid and effective the charges and liens hereof, to carry into effect the purposes of this <br />Deed of Trust or to better assure and confirm unto any of them their rights, powers and remedies <br />hereunder; and, upon request by Beneficiary, shall supply evidence of fulfillment of each of the <br />covenants herein contained concerning which a request for such evidence has been made. <br />8.20. Waiver of Jury Trial. <br />Unless prohibited by Federal, State or local laws, each party acknowledges that it is <br />aware of and has had the advice of counsel of its choice with respect to its rights to trial by jury, <br />and each party, for itself and its successors and assigns, does hereby expressly and knowingly <br />waive and release all such rights to trial by jury in any action, proceeding or counterclaim <br />brought by any party hereto against the other (and/or against its officers, directors, employees, <br />agents, or subsidiary or affiliated entities) on or with regard to any matters whatsoever arising <br />out of or in any way connected with this Deed of Trust and/or any claim of injury or damage to <br />the fullest extent permitted by applicable law. <br />8.21. Tax Credits. <br />Beneficiary agrees that the lien of this Deed of Trust shall be subordinate to any extended <br />low-income housing commitment (as such term is defined in Section 42(h)(6)(B) of the Internal <br />Revenue Code) (the "Extended Use Agreement") recorded against the Security; provided that <br />32 <br />The Crossroads at Washington <br />City NSP Deed of Trust <br />
