INSURANCE NOT ON FILE N-2022-264 <br />WORK MAY NOTPROCEED <br />CLERK OF COUNCIL <br />DATE: <br />jLCSgpl U) AGREEMENT WITH MEDICAL & SAFETY, INC., TO PROVIDE STANDBY <br />EMERGENCY MEDICAL SERVICES AT CITY'S 2022 FIESTAS PATRIAS EVENT <br />THIS AGREEMENT is made and entered into this �U day of September, 2022, by and between <br />Medical & Safety, Inc., a California corporation ("Contractor"), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California ("City"). <br />RECITALS <br />0 <br />uO A. The City desires to retain a contractor to provide standby emergency medical <br />services at the City's 2022 Fiestas Patrias event. <br />w <br />cn <br />B. Contractor represents that Contractor is able and willing to provide such services to <br />the City. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably <br />be expected. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. Contractor shall provide no less than four (4) emergency medical technicians <br />(EMTs) per day to conduct standby emergency medical services needed for the <br />City's Fiestas Patrias event ("Event") September 17-18, 2022. <br />b. All EMTs assigned to provide services pursuant to this Agreement shall be <br />certified and registered with the appropriate authorities to practice pre -hospital, <br />emergency medical care in the State of California. <br />C. Standby emergency medical services will be provided for the duration of the <br />Event. <br />e. Contractor shall provide a medical cart and all medical supplies. <br />f. Contractor shall provide a safety plan to the City's Parks, Recreation and <br />Community Services Department within forty-eight (48) hours of the Event. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services <br />for City, the rates and charges identified in Exhibit A, attached hereto and <br />Page 1 of 9 <br />
