improvement at the Facility or arising from any accident on the premises. The GROUP waives,
<br />all claims and demands against CITY for any such loss, damage, or injury. The GROUP
<br />hereby agrees to defend and 'indemnify, save and hold CITY free and harmless from any
<br />liability for any loss, damage or injury to the GROUP officers, employees, and agents, other
<br />persons or property, and from all costs, expenses and other charges arising from the GROUP
<br />use of the Facility in connection with this Agreement, except the GROUP shall not be required
<br />to indemnify for any loss, damage, injury or claim arising from the willful acts or negligence
<br />of CITY, its officers, employees, or agents.
<br />11. The GROUP agrees and represents that all of its officers, employees, agents, or other
<br />personnel that may utilize the Facility are doing so within the course and scope of their duties
<br />as an employee, officer, or agent of the GROUP and are in no way employees of CITY. Should
<br />any officer, employee, agent or other personnel of the GROUP submit a claim for any injury
<br />or damages relating to the use of the Facility, the GROUP agrees to indemnify CITY from
<br />any and all such claims whether made by way of civil litigation, tort claim, arbitration or by
<br />the workers' compensation forum except that the GROUP shall not indemnify CITY for any
<br />loss, damage, injury, or claim arising from the willful acts or negligence of CITY, its officers,
<br />employees or agents
<br />12. Either party may terminate this Agreement, without cause upon 30 days prior written notice.
<br />13. The persons executing this Agreement on behalf of the GROUP and CITY warrant that (i)
<br />they are duly authorized to execute and deliver this Agreement, (ii) formally bound to the
<br />provisions of this Agreement, and (iii) entering into this Agreement does not violate any
<br />provisions of any other agreement to which the party is bound.
<br />14. Insurance - GROUP shall procure and maintain for the duration of the contract insurance
<br />against claims for injuries to persons or damages to property which may arise from or in
<br />connection with the performance of the work hereunder and the results of that work by the
<br />GROUP, his agents, representatives, employees or subcontractors.
<br />MINIMUM SCOPE AND LIMIT OF INSURANCE
<br />Coverage shall be at least as broad as:
<br />• Commercial General Liability (CGL): Insurance Services Office Form CG 00 01
<br />covering CGL on an "occurrence" basis, including products and completed operations,
<br />property damage, bodily injury and personal & advertising injury with limits no less than
<br />$1,000,000 per occurrence. If a general aggregate limit applies, either the general aggregate
<br />limit shall apply separately to this project/location (ISO CG 25 03 or 25 04) or the general
<br />aggregate limit shall be twice the required occurrence limit.
<br />• Workers' Compensation: as required by the State of California, with Statutory Limits,
<br />and Employer's Liability Insurance with limit of no less than $1,000,000 per accident for
<br />bodily injury or disease.
<br />If the GROUP maintains broader coverage and/or higher limits than the minimums shown
<br />above, the CITY requires and shall be entitled to the broader coverage and/or the higher limits
