HNSURANCE NOT ON FILE <br />,,;VOlH- K MAY NOT PROCEED <br />CLERK OF COUNCIL <br />BATE: <br />N-2022-334 <br />CITY OF SANTA ANA AGREEMENT WITH PALACIOS LAW OFFICE <br />TO PROVIDE ADMINISTRATIVE HEARING SERVICES <br />THIS AGREEMENT is made and entered into on this day of October 2022 by and between <br />Palacios Law Office ("PALACIOS"), and the CITY of Santa Ana, a charter CITY and municipal <br />c® corporation organized and existing under the Constitution and laws of the State of California <br />("CITY"). <br />RECITALS <br />A. On August 1, 2022, the CITY issued a Request for Qualifications #22-086 ("RFQ") seeking <br />to retain an administrative hearing officer having special skill and knowledge to serve as a <br />neutral administrative hearing officer and provide on -call professional administrative <br />hearing services for the CITY. <br />B. PALACIOS submitted a timely response and was one of four (4) firms selected by the City <br />to provide said services. PALACIOS represents that it is able and willing to provide such <br />services to the CITY. <br />C. In undertaking the performance of this Agreement, PALACIOS represents that it is <br />knowledgeable in its Feld and that any services performed by PALACIOS under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />At the City's sole discretion, PALACIOS shall provide on -call neutral administrative <br />hearing services as requested by the Executive Director of the Planning and Building Agency. <br />PALACIOS shall perform during the term of this Agreement, the tasks and obligations including <br />all labor, materials, tools, equipment, and incidental customary work required to fully and <br />adequately complete the on -call neutral administrative hearing services as described in further <br />detail in Exhibit A, attached hereto. <br />2. COMPENSATION <br />a. City neither warrants nor guarantees any minimum or maximum compensation to <br />PALACIOS under this Agreement. CITY agrees to pay, and PALACIOS agrees to <br />accept as total payment for its services for CITY, the rates and charges identified in <br />Exhibit B. PALACIOS is one of four selected firms to provide services per the RFQ. <br />The total aggregate amount to be expended, among the four firms, during the term of <br />this Agreement shall not exceed Fifty Thousand Dollars and Zero Cents ($50,000). <br />Page 1 of 9 <br />
