INSURANCE NOT ON FILE A-2022-216 <br />WORK MAY NOT PROCEED <br />CLERK OF COUNCIL <br />DATE: <br />AGREEMENT WITH CENTAMAN, INC., TO PROVIDE ZOO TICKETING <br />C5A 16�14W Fl SOFTWARE SERVICES <br />(AV) I J THIS AGREEMENT is made and entered into on this Ist day of November, 2022 by and <br />between Centaman, Inc., a Delaware corporation ("Consultant"), and the City of Santa Ana, <br />a charter city and municipal corporation organized and existing under the Constitution and laws <br />of the State of California ("City"). <br />ry <br />o RECITALS <br />Cv <br />0 <br />A. On January 26, 2022, the City issued Request for Proposal ("RFP") No. 22-008 by which <br />o it sought to retain a consultant having special skill and knowledge in the field of ticketing <br />software to support all ticketing, reservations, memberships, reporting and accounting for <br />the Santa Ana Zoo. <br />B. Consultant submitted a responsive proposal that was selected by the City. Consultant <br />represents that Consultant is able and willing to provide the services described in the scope <br />of work that was included in RFP 22-008. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete the services described in RFP No. 22-008, which is attached as Exhibit <br />A, and is more specifically delineated in Consultant's proposal, which is attached as Exhibit B <br />and incorporated in full. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services <br />under this Agreement, the rates and charges identified in Exhibit C. The total amount <br />to be expended during the term of this Agreement shall not exceed Five Hundred Ten <br />Thousand, Four Hundred Ninety -Nine Dollars and Sixty Cents ($510,499.60). This <br />sum is comprised of (1) the base amount of $464,090.54 and (2) a ten (10) percent <br />contingency in the amount of $46,409.06 for additional services at the City's sole <br />discretion. <br />b. If the option to renew is exercised per Section 3, below, the rate will adjust by no more <br />than the greater of 4.5% or the Consumer Price Index (CPI) for the entire renewal term. <br />Page 1 of 10 <br />
