21. MISCELLANEOUS. No provision of this Agreement may be amended except by a written amendment, signed by all of the partles, Should any legal action or reference be undertaken by any parry to this Agreement to enforce or interpret the provisions of this Agreement, the prevailing party shall be entitled to its attorneys' fees and costs. The terms of this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. In the event any one or more of the provisions contained in this Agreement are held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions contained herein shall not in any way be affected or Impaired thereby.
