INSURANCE ON FILE A-2022-201 <br />'44ORK MAY PROCEED <br />UN(IL\NsURAN EEXPIRES <br />CLERK OE COUNCIL AGREEMENT WITH LYONS SECURITY SERVICES <br />DATE: TO PROVIDE SECURITY GUARD SERVICES <br />AT VARIOUS CITY SITES <br />p `\ THIS AGREEMENT is made and entered into on this 18Tu day of October, 2022 by and between <br />Lo J Lyons Security Services, Inc., a California corporation ("Contractor"), and the City of Santa Ana, <br />a charter city and municipal corporation organized and existing under the Constitution and laws of <br />N the State of California ("City"). <br />0 <br />N <br />o RECITALS <br />A. On February 9, 2022, the Public Works Agency released Request for Proposal (RFP) No. <br />22-026, by which it sought the services of qualified firms to provide armed and unarmed <br />security guard services. <br />B. Contractor submitted a timely and responsive proposal that was selected by the City. <br />Contractor represents that it is able and willing to provide the services described in the <br />scope of work that was included in REP No. 22-026. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment; and incidental customary work required to fully <br />and adequately complete the services described and set forth in Exhibit A, attached hereto and <br />incorporated by reference. Contractor's proposal shall be incorporated as though fully attached <br />hereto. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services for <br />City, the rates and charges identified in Exhibit B. The total amount to be expended <br />during the term of this Agreement shall not exceed $18,042,746. The total here <br />includes a base amount of $15,035,621 and a contingency amount of $3,007,125 for <br />additional services directed at the sole discretion of the City. <br />b. Beginning on July 1, 2023, the rates and charges detailed in Exhibit B are subject to a <br />Consumer Price Index ("CPI") increase of up to 5%. Such increases shall take effect <br />annually on July 1st for the remainder of the term, including any extensions defined in <br />Section 3, below.
