INSURANCE ON FILE WORK MAY PROCEED N-2022-357 UNTIL INSURANCE EXPIRES 5.1g. 1,023 CLERK OF COUNCIL DATE:NOV 2 9 2022 CONSULTANT AGREEMENT BETWEEN THE CITY OF SANTA ANA AND MVR CONSULTING FOR SOFTWARE MAINTENANCE AND y1)(y,)Z DEVELOPMENT SUPPORT SERVICES THIS AGREEMENT is made and entered into on this _ day of November, 2022 by and between MVR Consulting, ("Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. The City desires to retain a Consultant having special skill and knowledge to: (1) update the Public Works Agency ("PWA") Timesheet Keeper Access Database Program for work schedule changes; and (2) provide on -call software maintenance and development support services. C. Consultant represents that Consultant is able and willing to provide such services to the City. D. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall perform during the term of this Agreement, the tasks and obligations including all labor, materials, tools, equipment, and incidental customary work required to fully and adequately update PWA's Timesheet Keeper Access Database Program for work schedule changes as described and set forth in Exhibit A, attached hereto and incorporated by reference. On an as -needed basis, and at the City's sole discretion, Consultant shall perform software routine maintenance, support, enhancements, or redesign to streamline functionality and improve user experience for the City's various custom database software applications. 2. COMPENSATION a. City agrees to pay, and Consultant agrees to accept as total payment $24,934 as identified in Exhibit A to perform an update to the Timesheet Keeper Access Database Program for PWA. For on -call software maintenance and development support services, Consultant shall be paid only for actual services performed under this Agreement at the hourly rates and charges identified in Exhibit A. The total amount to be expended during the term of this Agreement shall not exceed $50,000. Page 1 of 10
