EXHIBIT E <br />FORM OF DISBURSEMENT CERTIFICATE <br />$8,470,000 <br />LEASE AGREEMENT <br />Dated March 30, 2007, <br />by and between the Santa Ana Financing Authority, as Lessor, and the City of <br />Santa Ana, as Lessee, Assigned to All Points Public Funding, LLC, as Assignee <br />DISBURSEMENT CERTIFICATE NO. <br />The undersigned hereby states and certifies: <br />(i) that the undersigned is the duly appointed, qualified and acting of <br />City of Santa Ana, a municipal corporation and charter city, organized and existing under the laws of <br />the State of California (the "City"), and as such, is familiar with the facts herein certified and is <br />authorized to certify the same on behalf of the City; <br />(h) that, pursuant to Section 3.2 of that certain Lease Agreement, dated March 30, 2007 <br />("Lease Agreement"), by and between the Santa Ana Financing Authority, as lessor (the "Authority"), <br />and the City, as assigned to All Points Public Funding, LLC, as assignee (the "Assignee"), The Bank of <br />New York Trust Company, N.A. (the "Depositary Agent") is hereby requested to disburse this date <br />from the Depositary Account (as defined in Lease Agreement) to the payees designated on Exhibit A <br />attached hereto and by this reference incorporated herein, at the addresses set forth below such payee <br />name, the sum set forth opposite such payee, for payment or reimbursement for costs of the <br />Improvements or of Costs of Issuance (as defined in Lease Agreement) as specified; <br />(iii) that, if such disbursement is for reimbursement to the City, evidence of prior payment is <br />attached hereto; <br />(iv) that obligations in the stated amounts have been incurred by the City and are presently <br />due and payable and that each item thereof is a proper charge against the Depositary Account, and <br />has not been previously paid therefrom; <br />(v) that there has not been filed with or served upon the City notice of any lien, right to lien <br />or attachment upon, or claim affecting the right to receive payment of, any of the amounts payable to <br />any of the persons named in such requisition, which has not been released or will not be released <br />simultaneously with the payment of such obligation, other than materialmen's or mechanics' liens <br />accruing by mere operation of law; <br />(vi) that the component of the Improvements for which such payment relates is satisfactory to <br />the City; <br />(vii) that invoices, statements, vouchers or bills for the amounts requested are attached hereto; <br />and <br />(ix) that the balance remaining in the Depositary Account after payment of such amounts, <br />together with any investment income reasonably anticipated to be deposited in the Depositary <br />Account and any other funds available therefor, will be sufficient to pay all of the costs of the <br />Improvements and Costs of Issuance; and <br />Exhibit E <br />Page 1 <br />
