Licensee prompt notice of such relocation and to select space suitable for the purposes of <br />Licensee's Event. <br />b. Owner reserves the right to terminate the Event and the Licensee's license hereunder in the <br />event that the activities by Licensee or its Vendor, guests or invitees at the Event constitute or <br />result in a public disturbance or nuisance, threat to public safety or health, criminal activity or <br />violation of law, are inconsistent with the description of the Event in the Event Application and <br />this Agreement, or are in violation of the Rules and Regulations. In the event of any such <br />termination, Owner shall be entitled to retain all fees and deposits paid by Licensee. <br />c. In the event of any fire, flood, natural disaster, inclement weather, utility or transportation <br />disruption or other event beyond the reasonable control of Owner or Licensee which, in the <br />opinion of Owner, would interfere with the holding of the Event, the Event shall be cancelled <br />or rescheduled as provided in this section. <br />i. In the event that Owner determines that the Center is available for Licensee's use to <br />hold the Event on alternative day(s) within sixty (60) days following the original Event <br />Date, Owner shall promptly notify Licensee of the same. <br />ii. In the event that Licensee selects any such date by written notice to Owner delivered <br />within seven (7) days of Owner's notification of the availability of the alternate date(s), <br />the Event will be rescheduled to such date, which date shall be deemed the Event Date <br />for the purposes of this Agreement and this License Agreement will continue in full <br />force and effect. <br />iii. If Owner does not offer to Licensee at least three (3) such alternative dates within such <br />sixty (60) day period and the parties do not otherwise agree on a New Event Date, then <br />the Event will be deemed cancelled and Owner shall refund to Licensee all monies paid <br />by the Licensee, and the parties shall be deemed discharged from their respective <br />obligations under this Agreement. <br />iv. In the event that Owner does make at least three (3) alternative dates available within <br />such sixty (60) period, but Licensee does not select one of the dates within the <br />applicable seven (7) day notice period, then the Event will be deemed cancelled, the <br />Owner shall refund to Licensee all monies paid by Licensee, less a cancellation fee of <br />twenty-five percent (25%) of the total Licensee Fees due for such Event and the parties <br />shall be deemed discharged of their respective obligations under this Agreement. <br />7. Miscellaneous. <br />a. This Agreement, the rights and liabilities of the parties hereto, and any questions or disputes <br />relating hereto shall be governed by the laws of the State of California. This Agreement <br />constitutes the entire agreement between the parties with respect to the subject matter hereof <br />and supersedes all prior and contemporaneous agreements or understandings of the parties. <br />Any amendment to this Agreement shall not be valid or binding unless in writing executed by <br />an authorized representative of Licensee and Owner. In the event that any suit or proceeding is <br />threatened or brought regarding any dispute arising out of or relating to this Agreement or the <br />subject matter hereof, the prevailing party in such litigation or proceeding shall be entitled to <br />recover attorney's fees and costs associated with defending or prosecuting any actual or <br />threatened suit. <br />b. All notices, requests or other communications hereunder shall be in writing and shall be <br />delivered by facsimile (with written confirmation of receipt), emailed, or mailed first class, <br />postage prepaid, by certified mail, return receipt requested, addressed to the parties as indicated <br />below. <br />c. In the event the Licensee constitutes a corporation, governmental body or other entity, the <br />person executing this Agreement on behalf of such Licensee individually represents and <br />
