Box 1988 <br />Santa Ana, CA 92702 <br />19.20 Dispositions of Abandoned Property. If Tenant abandons or quits the Premises or <br />is dispossessed thereof by process of law or otherwise, title to any personal property belonging to <br />and left on the Premises thirty (30) days after such event shall, at Lessor's option, be deemed to <br />have been transferred to Lessor. Lessor shall have the right to remove and to dispose of such <br />property at Tenant's cost, including the cost of labor, materials, equipment and an administrative <br />fee equal to fifteen percent (15%) of the sum of such costs without liability therefor to Tenant or <br />to any person claiming under Tenant, and shall have no need to account therefor. At Lessor's <br />option, Lessor may provide Tenant with an invoice for such costs, which invoice Tenant agrees to <br />pay within fifteen (15) days of receipt. <br />19.21 No Partnership. This Lease shall not be construed to constitute any form of <br />partnership orjoint venture between Lessor and Tenant. Lessor and Tenant mutually acknowledge <br />that no business or financial relationship exists between them other than as Lessor and Tenant, and <br />that Lessor is not responsible in any way for the debts of Tenant or any other Party. <br />19.22 Authorization. Lessor and Tenant (each, a "signing party") each represents and <br />warrants to the other that the person or persons signing this Lease on behalf of the signing party <br />has full authority to do so and that this Lease binds the signing party. Concurrently with the <br />execution of this Lease, the Tenant shall deliver to the Lessor a certified copy of a resolution of <br />the signing party's board of directors or other governing board authorizing the execution of this <br />Lease by the signing party. <br />19.23 Recording. This Lease itself shall not be recorded, but in the event that the Tenant <br />encumbers the leasehold as set forth in a memorandum hereof may be recorded in the form of <br />Exhibit D attached hereto ("Memorandum"). The Memorandum may be executed concurrently <br />with this Lease and thereafter recorded in the Official Records of the County Recorder on the <br />Effective Date of this Lease has occurred. Tenant shall be responsible for the payment of all <br />charges imposed in connection with the recordation of the Memorandum, including, without <br />limitation, any documentary transfer tax imposed in connection with this transaction and all <br />recording fees and charges. <br />Page 140 <br />
