INSURANCE ON FILE A-2022-249 <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />5- I.7OZ3 <br />OF CAE 6 4 Cl` <br />DATE: 2 8 2022 AGREEMENT WITH GUIDEHOUSE INC. <br />UTO PROVIDE AMERICAN RESCUE PLAN ACT (ARPA) <br />CONSULTING SERVICE <br />g=-FMSA (0) THIS AGREEMENT is made and entered into on this 20th day of December, 2022, by and <br />��Gtf(t(rl R)fAV� between Guidehouse Inc., a Delaware corporation ("Consultant"), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California ("City"). <br />RECITALS <br />A. On July 20, 2021, the City Council authorized the Revive Santa Ana Spending Plan made <br />possible by the American Rescue Plan Act ("ARPA") through U.S. Department of <br />Treasury ("DOT") Coronavirus State and Local Fiscal Recovery Funds ("CSLFRF"). The <br />spending plan is intended to protect and revive the Santa Ana community as it emerges <br />from the impacts of the COVID-19 pandemic. <br />B. On August 26, 2021, the City issued a Request for Qualifications No. 21-093 ("RFQ") <br />seeking to retain a Consultant having special skill and knowledge in the field of <br />implementing robust internal controls and effectively monitor the Revive Santa Ana <br />projects to ensure compliance with all applicable federal rules and regulations to assist the <br />City's Finance & Management Services Agency with navigating and complying with the <br />evolving and complex regulatory and programmatic CSLFRF guidance. <br />C. On December 21, 2021, the City entered into Agreement #A-2021-253 ("Agreement") with <br />Grant Thornton Public Sector, LLC ("Grant Thornton"), to provide services, as detailed in <br />the RFQ, attached hereto as Exhibit A to the Agreement. The term of the Agreement runs <br />until December 21, 2022. <br />D. On September 30, 2022, Grant Thornton officially merged with Guidehouse Inc., and <br />pursuant to the terms of the Agreement, Consultant has provided American Rescue Plan <br />Consulting Services to the City. <br />E. Consistent with the City's purchasing rule and regulations, City seeks to engage Consultant <br />to provide this vital consulting service per the requirements established by the RFQ by way <br />of a new agreement with the Consultant. Consultant represents that it is able and willing <br />to provide such services to the City. <br />F. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />Page 1 of 12 <br />
