This credit line on products of a project, such as materials, is important to <br />foster support from the public, and state funding sources. <br />d. California State Library Logo: Use of the California State Library logo, which <br />can be downloaded on the California State Library website, is required on <br />any publication, vehicle wrap, or promotional material along with the above <br />statement(s). <br />e. Photo Documentation: Digital photos are a great way to document the <br />happenings of your project. It is recommended that you use a photo release <br />form when taking photos of the public. You may use your library's photo <br />release form or contact your grant monitor for the State Library's form. <br />3. Agency: In the performance of this Agreement the Grantee and its agents and <br />employees shall act in an independent capacity and not as officers, employees, <br />or agents of the California State Library. The Grantee is solely responsible for all <br />activities supported by the grant. Nothing in this Agreement creates a <br />partnership, agency, joint venture, employment, or any other type of relationship <br />between the parties. The Grantee shall not represent itself as an agent of the <br />California State Library for any purpose and has no authority to bind the State <br />Library in any manner whatsoever. <br />4. Amendment: No amendment or variation of the terms of this Agreement shall <br />be valid unless made in writing, signed by the parties, and approved as required. <br />No oral understanding or agreement not incorporated into this Agreement is <br />binding on any of the parties. This Agreement may be amended, modified, or <br />augmented by mutual consent of the parties, subject to the requirements and <br />restrictions of this paragraph. <br />5. Applicable law: The laws of the State of California shall govern all proceedings <br />concerning the validity and operation of this Agreement and the performance <br />of the obligations imposed upon the parties hereunder. The parties hereby <br />waive any right to any other venue. The place where the Agreement is entered <br />into and place where the obligation is incurred is Sacramento County, California. <br />6. Assignment Successors, and Assigns: The Grantee may not assign this <br />Agreement or delegate its performance to any third -party person or entity, either <br />in whole or in part, without the California State Library's prior written consent. The <br />provisions of this Agreement shall be binding upon and inure to the benefit of the <br />California State Library, the Grantee, and their respective successors and assigns. <br />7. Audit and Records Access: The Grantee agrees that the California State Library, <br />the Department of General Services, the State Auditor, or their designated <br />representatives shall have the right to review, audit, inspect and copy any <br />records and supporting documentation pertaining to the performance of this <br />Agreement. The Grantee agrees to maintain such records for possible audit for <br />a minimum of five (5) years after the final payment, or grant term end date, <br />whichever is later, unless a longer period of records retention is stipulated, or until <br />
