Certificates of insurance endorsements shall show the City as a certificate <br />holder as follows: <br />City of Santa Ana <br />Risk Management Division, 4th Floor 20 Civic Center Plaza <br />Santa Ana, CA 92701 <br />vii. Where the amounts or coverage provided by the certificates of insurance <br />provides coverage greater than those listed by this Agreement, the amounts <br />provided by the certificates of insurance shall be incorporated by reference into <br />the Agreement. <br />7. Broader Coverage: If the Consultant maintains broader coverage and/or higher <br />limits than the minimums shown above, the Entity requires and shall be entitled to <br />the broader coverage and/or the higher limits maintained by the contractor. Any <br />available insurance proceeds in excess of the specified minimum limits of insurance <br />and coverage shall be available to the Entity. <br />8. If Consultant fails or refuses to produce or maintain the insurance required by this <br />section or fails or refuses to furnish the City with required proof that insurance has <br />been procured and is in force and paid for, the City shall have the right, at the City's <br />election, to forthwith terminate this Agreement. Such termination shall not affect <br />Consultant's right to be paid for its time and materials expended prior to notification <br />of termination. Consultant waives the right to receive compensation and agrees to <br />indemnify the City for any work performed prior to approval of insurance by the <br />City. <br />b. Other Insurance Provisions <br />1. Additional Insured Status: The Entity, its officers, officials, employees, and <br />volunteers are to be covered as additional insureds on the CGL policy with respect <br />to liability arising out of work or operations performed by or on behalf of the <br />Consultant including materials, parts, or equipment furnished in connection with <br />such work or operations. General liability coverage can be provided in the form of <br />an endorsement to the Consultant's insurance (at least as broad as ISO Form CG <br />20 10 11 85 or both CG 20 10, CG 20 26, CG 20 33, or CG 20 38; and CG 20 37 <br />forms if later revisions used). Please note, if there is an insured vs. insured <br />exclusion on the Consultant's policy, carefully review with the Consultant and their <br />insurance carrier on whether being added as an additional insured onto the <br />Consultant's policy removes your organization's ability to file suit against the <br />Consultant and draw upon the policy should final adjudication in a lawsuit state <br />that the Consultant shall pay damages to your organization. <br />2. Primary Coverage: For any claims related to this contract, the Consultant's <br />insurance coverage shall be primary. Coverage for commercial liability shall be at <br />least as broad as [SO CG 20 01 04 13 as respects the Entity, its officers, officials, <br />employees, and volunteers. Any insurance or self-insurance maintained by the <br />Entity, its officers, officials, employees, or volunteers shall be excess of the <br />Page 6 of 11 <br />
