INSURANCE ON FILE N 2023-097 <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />CLERK OF COUNCIL <br />DATE AGREEMENT FOR PARKING CONSULTANT SERVICES <br />FOR DOWNTOWN PARKING FACILITIES <br />THIS AGREEMENT is made and entered into this day of April 15, 2023 by and between Walker <br />Parking Consultants/Engineers, Inc., a Michigan corporation, dba Walker Consultants <br />("Consultant'), and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California ("City"). City and Consultant <br />shall hereinafter collectively be referred to as "the Parties". <br />C�Cal L RE ITALS <br />A. On January 22, 2016, the City issued Request for Qualifications No. 16-011, by <br />which it sought proposals from qualified firms for parking consulting services <br />related to the four public parking structures and one public surface lot that serve the <br />Downtown area. <br />B. On March 25, 2016, Consultant submitted a responsive proposal that was selected <br />by the City and on May 17, 2016, the City and Consultant entered into said <br />Agreement (A-2016-120), hereinafter "Original Agreement' for Parking <br />Consultant Services for a Term of three (3) years. <br />C. Following the Original Agreement, the Parties entered into three additional <br />agreements for similar services, the last of which expired on August 4, 2022. <br />D. The Parties now wish to enter into a fourth Agreement for Parking Consultant <br />Services for Downtown Parking Facilities (hereinafter "Agreement'). <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the Parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete the services described and set forth in Scope of Services - Exhibit A, <br />attached hereto and incorporated by reference. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services for <br />City, the rates and charges identified in Compensation - Exhibit B. The total amount <br />to be expended during the term of this Agreement, including extension periods, shall <br />not exceed $45,000. <br />b.
