INSURANCE NOT 0A FILE <br />WORK MAY NOT PROCEED N-2023-101 <br />CLERK OF COUNCIL <br />DATE: <br />AGREEMENT WITH TALIBRA, INC., TO PROVIDE A PERFORMANCE BY <br />TALIB KWELI AT CITY'S 2023 JUNETEENTH EVENT <br />�:pRc3n(l�(�r/THIS AGREEMENT is made and entered into this 24th day of March, 2023, by and between <br />a4oK t) Talibra, Inc., ("Contractor") a New York corporation f/s/o Talib Kweli, and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California ("City"). <br />o RECITALS <br />N <br />CID A. The City desires to retain a contractor to provide artists and entertainers to perform <br />c at the City's Juneteenth event. <br />B. Contractor represents that Contractor is able and willing to provide such services to <br />the City. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be perforated in compliance with such standards as may reasonably <br />be expected. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. Contractor shall provide a performance by the musical artist known as Talib <br />Kweli ("Artist") for the City's Juneteenth Celebration event on June 17, 2023 at <br />Centennial Park (3000 W. Edinger Avenue, Santa Ana, CA 92704). <br />b. Contractor shall ensure that Artist provides a musical performance to be <br />coordinated with event staff. <br />C. Contractor must provide song list of family friendly, clean edit songs with lyrics <br />to be approved by the City of Santa Ana prior to performance. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services <br />for City, including all travel expenses and performance, by Artist the rates and <br />charges identified in Exhibit A. The total amount to be expended under this <br />Agreement shall not exceed Ten Thousand Dollars and Zero Cents ($10,000.00). <br />b. Contractor agrees that the City is not responsible for payment directly to Artist nor <br />anyone else purporting to represent them. <br />Page 1 of 9 <br />
