INSURANCE ON FILE <br />WORK MAY PROCEED N-2023-120 <br />UNTIL I URANCE EXPIRES <br />-rweA-i <br />CITY CLERK <br />DATE: MAY 18 2023 AGREEMENT TO PROVIDE ADMINISTRATIVE <br />HEARING OFFICER SERVICES <br />THIS AGREEMENT is made and entered into this Ist day of March, 2023 by and between the Law <br />Offices of Espinosa & Espinosa ("Contractor"), and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />Califomia ("City"). City and Contractor are sometimes hereinafter individually referred to as a <br />"Party' and collectively referred to as "Parties." <br />a'. P8� �FiRwe;v<e U.)(s^) A— <br />R F.FIT A i .0 <br />A. The City desires to retain an administrative hearing officer having special skill <br />and knowledge to serve as a neutral administrative hearing officer and provide <br />on -call professional administrative hearing services for the City. <br />B. Contractor represents that Contractor is able and willing to provide such services <br />to the City. <br />C. In undertaking the performance of this Agreement, Contractor represents that it <br />is knowledgeable in its field and that any services performed by Contractor under <br />this Agreement will be performed in compliance with such standards as may <br />reasonably be expected from a professional contracting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to <br />the terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />a. On an as -needed basis, Contractor shall perform during the term of this <br />Agreement the tasks and obligations including all labor, materials, tools, <br />equipment, and incidental customary work required to fully and adequately <br />complete the administrative hearing services requested by the City and as <br />described in Exhibit A. The Parties agree that administrative hearings may be <br />conducted by Zoom if desired or necessary. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services <br />for City, the rates and charges identified in Exhibit A. The total sum to be <br />expended during the term of this Agreement, including any extension periods, <br />shall not exceed $45,000. <br />b. Payment by City shall be made within forty-five (45) days following receipt of <br />proper invoice evidencing work performed, subject to City accounting <br />procedures. Payment need not be made for work which fails to meet the standards <br />of performance set forth in the Recitals and Exhibit A, which may reasonably be <br />Page 1 of 9 <br />
