INSURANCE ON FILE <br />WORK MAY PROCEED <br />UI�TiCe�l® fy,DtE27BAF1-CEDD-4385-8EB5-1 F3B3B3E6490 A-2023-101-10 <br />O- <br />CITYCLERK <br />DATE: <br />SECOND AMENDMENT TO AGREEMENT FOR ON -CALL SPACE PLANNING AND <br />�• ��� ��� �� �QM� Z ARCHITECTURAL SERVICES AGREEMENT <br />S SECOND AMENDMENT to the above -referenced agreement is entered into on June 6, <br />2023 by and between Ware Malcomb ("Consultant") and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />California ("City"). <br />v <br />RECITALS <br />to <br />A The parties entered into Agreement No. A-2020-230-10, dated November 17, 2020, by <br />which Consultant agreed to provide on -call space planning and architectural consulting <br />services for the City's Public Works Agency ("Agreement"). <br />B. There were ten separate Consultants awarded agreements for on -call space planning and <br />architectural consulting services and compensation for any services used pursuant to these <br />agreements comes from a shared pool of funds authorized to pay for such services. <br />C. The parties amended the Agreement on September 7, 2021 to add additional funds to the pool <br />of funds available for the on -call services. <br />D. Due to the continuing and increased need for on -call services which would otherwise exceed <br />the current "not to exceed" amount under the Agreement, the parties now wish to amend the <br />Agreement to add additional funds to the pool of funds available for the on -call services. <br />The Parties therefore agree: <br />I. Section 2, Compensation, subsection a, is amended to increase the compensation from one <br />million, three hundred thousand dollars and zero cents ($1,300,000) to three million, three <br />hundred thousand dollars and zero cents ($3,300,000) for the remaining term ofthe Agreement <br />including any optional extensions. <br />2 Except as modified by this Second Amendment, all terms and conditions of the Agreement <br />shall remain in full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to the <br />Agreement on the date and year first written above. <br />[Signatures contained on the following page] <br />Page l of2 <br />
