INSURANCE NOT ON FILE <br />WORK MAY NOT PROCEED <br />CITY CLERK <br />DATE: <br />B �FMSPA(0) (Av) <br />(Akeu G.) <br />N-2023-161 <br />CONSULTANT AGREEMENT BETWEEN THE CITY OF SANTA ANA AND AP <br />TRITON, LLC FOR OPTIMIZATION EVALUATIONS FOR <br />EMERGENCY MEDICAL SERVICES <br />THIS AGREEMENT FOR CONSULTANT SERVICES ("Agreement") is made and <br />entered into this 13'h day of June, 2023 by and between AP Triton, LLC ("Consultant"), and the <br />City of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California ("City") hereinafter collectively referred to as the <br />"Parties". <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />Emergency Medical Services (EMS), the Public Provider Ground Emergency Medical <br />Transport (PP-GEMT) program, and current ambulance transportation rates as compared <br />against contemporary dollar figures and revenue, in order to determine the feasibility of <br />implementing changes to the City's current EMS service model. <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject <br />to the terms and conditions hereinafter set forth, the Parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. Consultant shall perform during the term of this Agreement, the tasks and <br />obligations including all labor, materials, tools, equipment, and incidental customary work <br />required to fully and adequately complete only those services described and identified in Phase <br />One of Consultant's "Proposal to Conduct an EMS System Valuation & Modeling Analysis", <br />which is attached hereto and incorporated herein by this reference as Exhibit A. Optional <br />contingency services described and identified therein shall be performed at the sole discretion of <br />the City. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services <br />under this Agreement, the rates and charges identified in Consultant's Fee Proposal, attached <br />hereto and incorporated herein by this reference as Exhibit B. The total sum to be expended under <br />the term of this Agreement, including any extension period(s), shall not exceed $48,093.00, and is <br />Page 1 of 10 <br />
