Page 1 of 2 <br />SECOND AMENDMENT TO AGREEMENT WITH T.R. HOLLIMAN & ASSOCIATES <br />FOR PREPARATION OF RECYCLED WATER MASTER PLAN <br />THIS SECOND AMENDMENT TO AGREEMENT is entered into on this 15th day of August 2023, <br />by and between T.R. Holliman and Associates, Inc. (“Consultant”), and the City of Santa Ana, a <br />charter city and municipal corporation duly organized and existing under the Constitution and laws <br />of the State of California (“City”). Consultant and City are also referred to herein as “Parties” or <br />individually as a “Party.” <br />RECITALS <br />A.The parties entered into Agreement No. A-2018-029, dated February 20, 2018, by which <br />Consultant agreed to prepare a Recycled Water Master Plan for the Water Resources <br />Division of the Public Works Agency (“Agreement”). <br />B.The parties entered into a First Amendment to the Agreement (A-2021-008) on January 19, <br />2021, to expand the scope of work, increase the overall compensation, and extend the term of <br />the Agreement until February 19, 2023. <br />C.On January 19, 2023, the parties extended the term of the Agreement for an additional six (6) <br />months until August 19, 2023, to allow Consultant to complete work related to the Agreement, <br />as amended. The Agreement is current and in-effect. <br />D.The parties desire to further amend the Agreement to extend the term of the agreement for <br />a final one (1) year period. This Second Amendment contemplates no other revisions to <br />the terms and conditions of the Agreement. <br />THE PARTIES THEREFORE AGREE: <br />1.Section 3, TERM, shall be amended to extend the term of the Agreement until August 18, <br />2024. <br />2.Except as hereinabove modified, the terms and conditions of said Agreement, as amended, <br />remain unchanged and in full force and effect. <br />[signature page to follow] <br />EXHIBIT 1
