Coordination with Continuum of Care <br />SUBRECrPIENT: <br />Mercy House Living Centers <br />PO Box 1905 <br />Santa Ana, CA 926702 <br />(714)836-7188 <br />Attn: Larry Haynes Chief Executive Officer <br />(714)836-7188 x!Ol <br />I a rryh@mercyhouse.net <br />The SUBRECJPIENT must work with the Continuum of Care ("CoC"') to ensure the screening, <br />assessment, and referral of program participants are consistent with the AUTHORITY's written <br />standards for providing EHV Services Fees assistance. <br />B.Terminating Assistance <br />If a program participant violates program requirements, the SUBRECIPIENT may terminate the <br />assistance in accordance with a formal process established by the SUBRECIPIENT that <br />recognizes the rights of individuals affected. <br />C.Independent Contractor <br />Nothing contained in this AGREEMENT is intended to, or shall be construed in any manner, as <br />creating or establishing the relationship of employer/employee between the parties. The <br />SUBRECIPIENT and its subcontractors shall at all times remain independent contractors with <br />respect to the services to be perfonned under this AGREEMENT. The AUTHORITY shall be <br />exempt from payment of any Unemployment Compensation, FICA, retirement, life and/or <br />medical insurance and Workers' Compensation Insurance as the SUBRECIPIENT is an <br />independent contractor. <br />D.Subcontracts <br />(I)Content Requirements. The SUBRECIPIENT will include all relevant provisions of this <br />AGREEMENT in all subcontracts entered into as part of the activities undertaken in <br />furtherance of this AGREEMENT and will take appropriate action pursuant to any <br />subcontract upon a finding that the subcontractor is in violation of regulations issued by <br />any federal agency. The SUBRECIPIENT will not subcontract with any entity where it <br />has notice or knowledge that the latter has been found in violation of regulations under 24 <br />CFR Part 135 (Economic Opportunities for Low-and Very Low-Income Persons) and <br />will not allow any subcontract unless the entity has first provided it with a preliminary <br />statement of ability to comply with the requirements of these regulations. <br />(2) Submission to the AUTHORITY. The SUBRECIPIENT must submit all subcontracts and <br />other agreements that relate to this AGREEMENT to the AUTHORITY. <br />Page 6 <br />EXHIBIT 2
