Supplier shall pay the Dispenser Share to the <br />Dispenser no later than one hundred and twenty (120) days from the end of the applicable calendar quarter <br />during which the RNG was dispensed by Dispenser at the Station. <br /> <br />1 For avoidance of doubt, Supplier shall provide Dispenser with LCFS Credit Value that is the equivalent of <br />what Dispenser would have received had such LCFS Credits been generated in respect of RNG having a CI <br />Score of -200. <br /> <br /> <br />___________________________ <br /> <br /> <br />RNG Contract Quantity: <br />Supplier shall supply 100% of the actual volume dispensed at the Station (“Minimum Volume <br />Amount”). The Station is projected to dispense 9,872 MMBtu or approximately 77,000.00 GGE <br />annually. The RNG Contract Quantity shall be measured on a pro-rata basis monthly for purposes of <br />determining compliance with this Transaction Confirmation. <br />In the event that Supplier fails to supply the Station with RNG at the applicable Minimum Volume <br />Amount, Supplier hereby guarantees payment to Dispenser of the Dispenser Share with respect to the <br />shortfall, i.e., the difference between (i) the amount of RNG supplied by Supplier for the period, and (ii) <br />Minimum Volume Amount. <br />Dispenser shall advise Supplier promptly of any material changes in business conditions that could result in <br />more than a twenty percent (20%) change in the RNG Contract Quantity on an annual basis. No later than <br />sixty (60) days prior to each annual anniversary date of this Transaction Confirmation, Dispenser and <br />Supplier shall adjust estimates for the aggregate RNG Contract Quantity for the upcoming year which shall <br />be equal to the actual volume dispensed for the immediately preceding year. <br />Delivery Period: <br />Start Date: January 1, 2023 <br />End Date: September 30, 2032 <br />List of Station(s): <br />215 South Center Street Santa Ana, CA 92704 <br /> <br />Meter No. and Gas Utilities Serving the Stations to be provided by Dispenser prior to start date and <br />incorporated into this TC No. 1 by Supplier: <br />Additional Conditions: <br />None.
