construction or interpretation thereof The terms "Delhi" and "City" as used in this Lease shall <br />include both singular, plural, masculine, feminine, and neuter as the context shall require. <br />27. Entire Agreement. This Lease contains the entire agreement of the Parties and <br />supersedes all prior negotiations, drafts, and other understandings which the parties may have <br />concerning the subject matter hereof. This Lease may not be modified except by written <br />instrument duly executed by the parties hereto or their successors in interest. <br />28. Choice of Laws; Interpretation. This Lease has been executed and delivered in the <br />State of California and the validity, interpretation, performance, and enforcement of any of the <br />clauses of this Lease shall be determined and governed by the laws of the State of California. Both <br />parties further agree that Orange County, California, shall be the venue for any action or <br />proceeding that may be brought or arise out of, in connection with or by reason of this Lease. The <br />provisions of this Lease shall be construed in accordance with the fair meaning of the language <br />used and shall not be strictly construed against either party. <br />29. Authority.
