construction or interpretation thereof The terms "Delhi" and "City" as used in this Lease shall include both singular, plural, masculine, feminine, and neuter as the context shall require. 27. Entire Agreement. This Lease contains the entire agreement of the Parties and supersedes all prior negotiations, drafts, and other understandings which the parties may have concerning the subject matter hereof. This Lease may not be modified except by written instrument duly executed by the parties hereto or their successors in interest. 28. Choice of Laws; Interpretation. This Lease has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Lease shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Lease. The provisions of this Lease shall be construed in accordance with the fair meaning of the language used and shall not be strictly construed against either party. 29. Authority. Each undersigned represents and warrants that its signature herein below has the power, authority and right to bind their respective Parties to each of the terms of this Lease, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn.
