AGREEMENT WITH CENTAMAN, INC., TO PROVIDE ZOO TICKETING ,SOFTWARE SERVICES THIS AGREEMENT is made and entered into on this 1 st day of November, 2022 by and between Centaman, Inc., a Delaware corporation ("Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. On January 26, 2022, the City issued Request for Proposal ("RFP") No. 22-008 by which it sought to retain a consultant having special skill and knowledge in the field of ticketing software to support all ticketing, reservations, memberships, reporting and accounting for the Santa Ana Zoo. B. Consultant submitted a responsive proposal that was selected by the City. Consultant represents that Consultant is able and willing to provide the services described in the scope of work that was included in RFP 22-008. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall perform during the term of this Agreement, the tasks and obligations including all labor, materials, tools, equipment, and incidental customary work required to fully and adequately complete the services described in RFP No. 22-008, which is attached as Exhibit A, and is more specifically delineated in Consultant's proposal, which is attached as Exhibit B and incorporated in full. 2. COMPENSATION a. City agrees to pay, and Consultant agrees to accept as total payment for its services under this Agreement, the rates and charges identified in Exhibit C. The total amount to be expended during the term of this Agreement shall not exceed Five Hundred Ten Thousand, four Hundred Ninety -Nine Dollars and Sixty Cents ($510,499.60). This sum is comprised of (1) the base amount of $464,090.54 and (2) a ten (10) percent contingency in the amount of $46,409.06 for additional services at the City's sole discretion. b. If the option to renew is exercised per Section 3, below, the rate will adjust by no more than the greater of 4.5% or the Consumer Price Index (CPI) for the entire renewal term. Page 1 of 10
