FIRST AMENDMENT TO MASTER SERVICES AGREEMENT <br />FOR ON-GOING CITYWIDE VIDEO SURVEILLANCE TO PROVIDE <br />MAINTENANCE AND REPAIR SERVICES <br />THIS FIRST AMENDMENT to the above-referenced agreement is entered into on May 17, <br />2022, by and between Siemens Industry, Inc. (“Consultant”) and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California (“City”). <br />RECITALS <br />A.On October 20, 2020, the City and Consultant entered into a Master Services Agreement <br />(A-2020-202) (“MSA”) for Consultant to provide maintenance and repair services for the <br />City’s Public Safety Video Surveillance System, and potential installation services, on an <br />as-needed basis. The selected vendor would be responsible for working closely with the <br />Department’s Project Team and other City Stakeholders, in order to maintain the system’s <br />efficiency and operational currency within the industry. The MSA runs through October <br />31, 2023, and is current and in-effect. <br />B.The City, upon review by the Santa Ana Police Department, the Public Works Agency, and its <br />Risk Management Division, determined that, in its efforts to minimize vandalism, and for the <br />safety of staff and community members, further video surveillance enhancements and the <br />addition of new video surveillance systems, where needed, meet these goals. <br />C.In accordance with the terms and conditions of the MSA, the Parties desire to amend the MSA <br />to increase the scope of services, increase the compensation for services provided due to the <br />increase scope, and amend the insurance requirement of the MSA consistent with the increased <br />scope and terms of the MSA. <br />The Parties therefore agree: <br />1.Section 1, Scope of Services, is amended to include Exhibit A-1 to the First Amendment <br />detailing the additional services attached here to. <br />2.Section 2, Compensation, is hereby amended to increase the compensation for the services <br />detailed in Exhibit A-1 to the First Amendment $1,200,000. This increase includes a <br />contingency amount of $100,000 for additional services required at the sole direction of the <br />City. The total amount to be expended during the term of the MSA shall not exceed <br />$3,382,870. <br />3.Section 10, Insurance, is hereby deleted in its entirety and replaced with the following: <br />Coverage shall be at least as broad as: <br />1.Commercial General Liability (CGL): Insurance Services Office Form CG 00 01 <br />covering CGL on an “occurrence” basis, including products and completed operations, <br />property damage, bodily injury and personal & advertising injury with limits no less than <br />EXHIBIT 1
