WDM0522 Page 13 of 45 March 1, 2022 <br /> <br /> CONTRACTOR: Santa Ana/Santa Ana WORK Center <br /> 801 Civic Center Dr., Suite 200 <br /> Santa Ana, CA 92701 <br /> <br />10.2 All notices shall be deemed effective when in writing and when: <br />10.2.1 Deposited in the United States mail, first class postage prepaid and <br />addressed as shown in the Subparagraph 10.1; <br />10.2.2 Sent by Email; <br />10.2.3 Faxed and transmission confirmed; or <br />10.2.4 Accepted by U.S. Postal Services Express Mail, Federal Express, United <br />Parcel Service, or any other expedited delivery service. <br />10.3 The parties each may designate by written notice from time to time, in the manner <br />aforesaid, any change in the address to which notices must be sent. <br />11. NOTICE OF DELAYS <br />Except as otherwise provided under this Agreement, when either party has <br />knowledge that any actual or potential situation is delaying or threatens to delay the timely <br />performance of this Agreement, that party shall, within one (1) business day, give notice <br />thereof, including all relevant information with respect thereto, to the other party. <br />12. INDEMNIFICATION <br />12.1 CONTRACTOR agrees to indemnify, defend with counsel approved in writing by <br />COUNTY, and hold U.S. Department of Health and Human Services, the State, <br />COUNTY, and their elected and appointed officials, officers, employees, agents, <br />and those special districts and agencies which COUNTY’s Board of Supervisors <br />acts as the governing Board (“COUNTY INDEMNITEES”) harmless from any <br />claims, demands, or liability of any kind or nature, including, but not limited to, <br />personal injury or property damage arising from or related to the services, products, <br />or other performance provided by CONTRACTOR pursuant to this Agreement, but <br />only in proportion to and to the extent that such claims, demands, or liabilities result <br />from the negligent acts or omissions of CONTRACTOR, its officers, employees, <br />or agents. If judgment is entered against CONTRACTOR and COUNTY by a court <br />of competent jurisdiction because of the concurrent active negligence of COUNTY
