Box 1988 <br />Santa Ana, California 92702-1988 <br />TO CONTRACTOR: <br />F. Assignability. None of the duties of, or work to be performed by, CONTRACTOR under <br />this Agreement shall be subcontracted or assigned to any agency, consultant, or person without the <br />prior written consent of CITY. CONTRACTOR must submit all subcontracts and other agreements that <br />relate to this Agreement to CITY. No subcontract or assignment shall terminate or alter the legal <br />obligations of CONTRACTOR pursuant to this Agreement. <br />G. Indemnification/Hold Harmless. CONTRACTOR shall indemnify, defend and save harmless <br />CITY, its officers, employees, agents, representatives and volunteers from and against any and all <br />damages to or for loss of use of property and for injuries to or death of any person or persons, including <br />property and employees or agents of CITY, and shall defend, indemnify and save harmless CITY, its <br />officers, employees, agents, representatives and volunteers from and against any and all claims, <br />demands, suits, actions or proceedings of any kind or nature, including, but not by way of limitation, <br />workers compensation claims and including attorney fees and reasonable expenses for litigation or <br />settlement, resulting from or arising out of the negligent or wrongful acts, errors or omissions of <br />CONTRACTOR, its officers, directors, employees, agents, subcontractors and suppliers arising out of <br />CONTRACTOR's performance of this Agreement. <br />H. Insurance. <br />Contractor shall procure and maintain for the duration of the contract insurance against claims <br />for injuries to persons or damages to property which may arise from or in connection with the <br />performance of the work hereunder and the results of that work by the Contractor, its agents, <br />representatives, employees, or subcontractors. <br />a. MINIMUM SCOPE AND LIMIT OF INSURANCE Coverage shall be at least as broad as: <br />1. Commercial General Liability (CGQ: Insurance Services Office Form CG 00 01 <br />covering CGL on an "occurrence" basis, including products and completed operations, <br />property damage, bodily injury and personal & advertising injury with limits no less <br />than $2,000,000 per occurrence. If a general aggregate limit applies, either the <br />general aggregate limit shall apply separately to this project/location (ISO CG 25 03 <br />or 25 04) or the general aggregate limit shall be twice the required occurrence limit. <br />2. Automobile Liability: Insurance Services Office Form Number CA 0001 covering, Code <br />1 (any auto), or if Contractor has no owned autos, Code 8 (hired) and 9 (non -owned), <br />with limit no less than $1,000,000 (if program services includes transportation of youth, <br />the limit shall be no less than $5,000,000) per accident for bodily injury and property <br />City of Santa Ana RFP 22-009A <br />Page 24 <br />
