Attachment A - Joint Agreement for 800 MHz CCCS <br />Page 6 of 83 <br />• "System Modification" is any change in operational procedure or technology that requires <br />alteration to the System. <br />• "System Subscriber Equipment" is defined as all equipment used to support user access to the <br />System including Subscriber Units and other supporting equipment such as dispatch center <br />console equipment, antennas, batteries, etc. <br />• "System User" is defined as an individual or agency apthorized to access the System. <br />• "System Watch Network Operation Center" is a Lead Agency staffed support center <br />responsible for the 24/7 support of the System. This includes but not limited to, live <br />monitoring, notifications, troubleshooting, callouts, and repair. <br />• "Talkgroups" are used to identify groups of users who communicate together on a trunked <br />radio system. <br />1.3 Amendment Process <br />The Governance Committee is authorized to make future updates, amendments, or modifications <br />to the Agreement and its attachments without further action of the Governing Authorities, so long <br />as the updates, amendments, or modifications to the Agreement and its attachments would result <br />in minor, non -substantive changes that do not create or increase the financial obligations of the <br />Partner Agencies. Where the Governance Committee is authorized to make such updates, <br />amendments, or modification, such delegated authority shall be expressly granted in this <br />agreement. <br />This agreement may also be amended or modified by the consent of all of the Governing <br />Authorities representing the Partner Agencies. <br />1.4 Liability <br />Each Party of this Agreement (the "Indemnitor") shall indemnify, defend, and hold all other <br />Parties, and their agents and employees (the "Indemnitees") harmless from all claims, liabilities, <br />damages, and losses to the Indemnitees arising out of any acts or omissions of itself and its agents <br />and employees in connection with the performance of this agreement which acts or omissions <br />constitute gross negligence. <br />1.5 Withdrawal from System <br />Any Party may withdraw from this Agreement by serving written notice to the Governance <br />Committee of their intent to withdraw. Due to the cost distribution model used to fund the <br />operation of the System, any Party withdrawing from this Agreement will financially impact the <br />remaining Parties. As such, Parties wishing to withdraw from this Agreement shall do the <br />following: <br />1) Withdrawing Party provides written notice twelve months prior of withdrawal after <br />meeting its financial obligations under this agreement. <br />
