Page 1 of 11 <br />AGREEMENT WITH GRANT THORNTON PUBLIC SECTOR LLP <br />TO PROVIDE AMERICAN RESCUE PLAN ACT (ARPA) <br />CONSULTING SERVICE <br />THIS AGREEMENT is made and entered into on this 21ST day of December, 2021, by and <br />between Grant Thornton Public Sector, LLC, a Delaware limited liability company (“Consultant”), <br />and the City of Santa Ana, a charter city and municipal corporation organized and existing under <br />the Constitution and laws of the State of California (“City”). <br />RECITALS <br />A.On July 20, 2021, the City Council authorized the Revive Santa Ana Spending Plan made <br />possible by the American Rescue Plan Act (ARPA) through U.S. Department of Treasury <br />(DOT) Coronavirus State and Local Fiscal Recovery Funds (SLFRF). The spending plan <br />is intended to protect and revive the Santa Ana community as it emerges from the impacts <br />of the COVID-19 pandemic. <br />B.On August 26, 2021, the City issued a Request for Qualifications No. 21-093 (“RFQ”) <br />seeking to retain a Consultant having special skill and knowledge in the field of <br />implementing robust internal controls and effectively monitor the Revive Santa Ana <br />projects to ensure compliance with all applicable federal rules and regulations to assist the <br />City’s Finance & Management Services Agency with navigating and complying with the <br />evolving and complex regulatory and programmatic SLFRF guidance <br />C.Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />D.In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1.SCOPE OF SERVICES <br />Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete the services described and set forth in Consultant’s Proposal attached <br />hereto as Exhibit A and incorporated by reference. Consultant warrants that it shall perform the <br />services in accordance with applicable professional standards. This warranty is in lieu of, and <br />Consultant expressly disclaims, all other warranties, express, implied or otherwise, including <br />without limitation any implied warranties of merchantability or fitness for a particular purpose. <br />Consultant does not warrant computer hardware, software or services provided by other parties <br />not retained by Consultant to provide services pursuant to this Agreement. <br />EXHIBIT 1
